The Consultant shall provide consultation services limited to the scope described below. Consultant's obligations are limited to professional advice, recommendations, and deliverables expressly identified in this section; operational implementation and decisions remain the responsibility of Client.

Late Payment: A late fee of per month (or the maximum permitted by law, if lower) will apply to overdue balances. Client shall also be responsible for collection costs and reasonable attorney fees incurred to collect past-due amounts.

Confidentiality

Each party agrees to maintain as confidential all non-public information disclosed by the other party that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the context of disclosure ("Confidential Information"). Confidential Information excludes information that: (a) becomes generally available to the public through no act or omission of the receiving party; (b) was lawfully in the receiving party's possession prior to receipt from the disclosing party; (c) is rightfully received by the receiving party from a third party without a duty of confidentiality; or (d) is independently developed by the receiving party without use of the disclosing party's Confidential Information.

The receiving party will use Confidential Information only to perform obligations under this Agreement and will protect it using the same degree of care it uses to protect its own confidential information, but in no event less than reasonable care.

Liability and Indemnification

To the fullest extent permitted by law, Client will indemnify and hold Consultant harmless from any claims arising from Client's use of Consultant's advice, except to the extent caused by Consultant's gross negligence or willful misconduct.

Governing Law; Dispute Resolution

This Agreement will be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles. Any dispute arising under this Agreement shall be resolved by binding arbitration in that state, unless the parties mutually agree otherwise in writing.

Entire Agreement

This Agreement, including all schedules and attachments, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, proposals, and communications, whether oral or written.
