Recitals

WHEREAS, Client requires certain professional services and agrees to provide accurate contact information and reasonable cooperation to facilitate delivery of those services; and

WHEREAS, Service Provider has the experience, personnel, and resources necessary to perform the services described below and agrees to provide such services in accordance with the terms of this Agreement; and

WHEREAS, the parties desire to set forth the scope, payment, confidentiality and other terms governing the services to be provided.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure such breach within the notice period specified above. Upon termination, Client shall pay Service Provider for all services performed and expenses incurred through the effective date of termination.

Confidentiality

Each party acknowledges that in the course of performance it may receive or have access to confidential information of the other party. Confidential information means non-public business, technical, financial, or other proprietary information. Each party agrees to (a) use such confidential information only for purposes of performing obligations under this Agreement, (b) keep such information confidential using at least the same degree of care it uses to protect its own confidential information, and (c) not disclose such information to any third party except to employees, contractors, or advisors who have a need to know and who are bound by confidentiality obligations no less restrictive than those in this Agreement. Confidentiality obligations shall survive termination of this Agreement for a period of three years, except for trade secrets which shall remain protected for as long as such information qualifies as a trade secret under applicable law.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the governing jurisdiction selected by the parties. The parties submit to the exclusive jurisdiction of the courts located in the selected jurisdiction for resolution of disputes arising out of this Agreement.

Entire Agreement

This Agreement, including all exhibits and attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications, whether oral or written. No amendment or modification to this Agreement shall be effective unless executed in writing by authorized representatives of both parties.
