CLIENT CONTACT INFORMATION AND SERVICES AGREEMENT

RECITALS

WHEREAS, Client requires certain professional services and related deliverables from Service Provider, and Service Provider has represented that it has the competence, personnel, resources and experience to provide such services in accordance with the terms of this Agreement; and

WHEREAS, accurate and current contact and billing information is essential for timely performance, invoicing, and legal notice, and the parties desire to set forth the required contact information and contractual terms governing the relationship.

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows:

CLIENT CONTACT INFORMATION

By initialing below and signing this Agreement, Client authorizes Service Provider to use the contact and billing information supplied herein to communicate regarding services, invoices, notices and other matters reasonably related to performance of this Agreement.

SCOPE OF WORK

Service Provider shall perform the services and deliver the deliverables described below. All work shall be performed in a professional and workmanlike manner consistent with industry standards.

PAYMENT TERMS

Overdue invoices shall bear a late fee of % per month (or the maximum permitted by law, if lower) on the unpaid balance, calculated monthly from the date payment was due until paid in full. Client shall also be responsible for reasonable collection costs.

TERM AND TERMINATION

This Agreement commences on the Start Date below and shall continue until the End Date below, unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for material breach by the other if the breaching party fails to cure such breach within thirty (30) days after written notice. Termination shall not relieve Client of its obligation to pay for services performed and costs incurred through the effective date of termination. Sections concerning payment, confidentiality and remedies survive termination.

CONFIDENTIALITY

For purposes of this Agreement, "Confidential Information" means non-public business, technical, financial and other information disclosed by a party that is designated as confidential or that a reasonable person would understand to be confidential given the nature of the information and the circumstances of disclosure. Each receiving party shall (a) use Confidential Information solely for performance of this Agreement; (b) restrict disclosure to those employees, agents or subcontractors with a need to know and who are bound by confidentiality obligations; and (c) exercise reasonable care to protect Confidential Information from unauthorized disclosure. Confidential Information does not include information that is or becomes publicly available through no fault of the receiving party, is rightfully received from a third party without restriction, or is independently developed without reference to the Confidential Information. A party may seek injunctive relief for breach of this section in addition to any other remedies.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state of , without regard to its conflict of laws principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that state for resolution of disputes arising under this Agreement.

ENTIRE AGREEMENT

This Agreement, together with any attached exhibits or schedules and the contact information supplied herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, proposals, negotiations and communications, whether oral or written. Any amendment or modification must be in writing and signed by authorized representatives of both parties.

CERTIFICATION OF CONTACT INFORMATION

Client certifies that the contact and billing information provided in this form is complete and accurate, and agrees to promptly notify Service Provider in writing of any changes. Client acknowledges that failure to provide accurate contact information may result in delayed performance, delayed notices, or additional costs for correction.
