Client CRM Registration and Service Agreement

This Client CRM Registration and Service Agreement ("Agreement") is entered into by and between:

WHEREAS

WHEREAS, Client Name: requires a centralized customer relationship management system (CRM) to collect, store and manage client-related data for sales, marketing and support; and

WHEREAS, Service Provider Name: has represented that it is qualified to provide CRM services, implementation, and ongoing support under the terms set forth in this Agreement.

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows:

Scope of Work

Service Provider will deliver CRM registration, configuration, data migration (if applicable), training, and ongoing hosting and support services described in the scope below. The scope may include custom fields, workflows, integrations, and user provisioning as agreed in writing.

Data and Access

Client authorizes the collection and storage of the following categories of data in the CRM. The parties acknowledge that Client retains ownership of Client Data and grants Provider a limited license to process such data solely to perform the services under this Agreement.

Payment Terms

Client shall pay Provider the fees described below in consideration for the services rendered. All fees are due in U.S. dollars and are non-refundable except as expressly provided in this Agreement.

Term and Termination

The term of this Agreement begins on Start Date: and ends on End Date:

Either party may terminate this Agreement for material breach if the breaching party fails to cure the breach within the notice period set forth above. Provider may suspend access to the CRM in the event of non-payment after providing written notice and a reasonable cure period.

Confidentiality

"Confidential Information" means non-public information disclosed by one party to the other that is designated confidential or that reasonably should be understood to be confidential given its nature. Each party agrees to hold Confidential Information in strict confidence, to use it only to perform obligations under this Agreement, and not to disclose it to third parties except as required by law or as necessary to perform the services. The foregoing obligations survive termination of this Agreement for a period of three (3) years, except for trade secrets which shall remain protected for as long as they meet the statutory definition of a trade secret.

Data Security, Retention and Deletion

Provider shall implement administrative, technical and physical safeguards appropriate to the sensitivity of Client Data, including access controls, encryption in transit and at rest, and routine backups. Provider will retain Client Data for the term of this Agreement and for a period of time following termination to permit orderly transition unless Client requests earlier deletion. Upon termination and after any applicable cure or payment period, Provider will, at Client's election, return or securely delete Client Data within thirty (30) days, provided all outstanding fees are paid.

Representations, Warranties and Liability

Each party represents that it has the authority to enter into this Agreement. Provider warrants that it will perform services in a professional and workmanlike manner. EXCEPT AS EXPRESSLY PROVIDED, PROVIDER DISCLAIMS ALL OTHER WARRANTIES. IN NO EVENT SHALL PROVIDER'S AGGREGATE LIABILITY EXCEED THE TOTAL FEES PAID BY CLIENT TO PROVIDER UNDER THIS AGREEMENT DURING THE SIX (6) MONTHS PRECEDING THE CLAIM.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its choice of law rules. The parties submit to the exclusive jurisdiction of the state and federal courts located in that state for disputes arising under this Agreement.

Entire Agreement

This Agreement, together with any documents expressly incorporated herein in writing, constitutes the entire agreement between the parties relating to the subject matter herein and supersedes all prior and contemporaneous agreements, proposals and communications, whether written or oral. Any amendment must be in writing and signed by authorized representatives of both parties.

Miscellaneous

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. Neither party may assign this Agreement without the prior written consent of the other, except that Provider may assign to an affiliate or in connection with a sale of substantially all of its assets.
