Recitals

WHEREAS, Client Name: requires certain goods and/or services as described in this Agreement; and

WHEREAS, Company Name: represents that it has the capacity, expertise and personnel to provide such goods and/or services to Client under the terms set forth herein; and

NOW, THEREFORE, in consideration of the mutual covenants contained in this Agreement, the parties agree as follows:

Scope of Work

The Company shall perform the services and deliverables described below. Deliverables shall conform to the specifications and schedule agreed by the parties.

Payment Terms

Client shall pay Company for the services and deliverables as set forth below. All payments are due in the currency agreed and are exclusive of taxes unless otherwise stated.

Late payments shall bear interest at the rate set forth below, computed monthly and compounded where permitted by law. Client shall also be responsible for reasonable collection costs incurred by Company.

Term and Termination

This Agreement commences on the Start Date set forth below and shall continue in full force until the End Date unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for cause if the other party materially breaches any obligation herein and fails to cure such breach within the notice period specified above. Termination for convenience by either party requires written notice as set forth above.

Confidentiality

For the purposes of this Agreement, "Confidential Information" means non-public business, technical, financial or operational information disclosed by either party to the other, whether disclosed orally, in writing, electronically, or by inspection. Confidential Information does not include information that: (a) is or becomes generally available to the public other than through a breach of this Agreement; (b) was rightfully in the receiving party's possession prior to disclosure by the disclosing party; (c) is independently developed by the receiving party without use of or reference to the disclosing party's Confidential Information; or (d) is rightfully obtained by the receiving party from a third party without restriction.

The receiving party shall: (i) protect Confidential Information with the same degree of care it uses to protect its own confidential information but with no less than reasonable care; (ii) not disclose Confidential Information to any third party except to its employees, contractors or advisors who have a strict need to know and who are bound by confidentiality obligations at least as protective as those contained herein; and (iii) use Confidential Information solely to perform its obligations or exercise its rights under this Agreement. The obligations of confidentiality shall survive termination of this Agreement for a period of three (3) years, unless otherwise agreed in writing.

Governing Law; Entire Agreement

This Agreement shall be governed by and construed in accordance with the laws of the state specified below, without regard to its conflict of laws principles. The parties consent to the exclusive jurisdiction and venue of the courts located in that state for resolution of disputes arising under this Agreement.

This Agreement, together with any exhibits, schedules, or attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, representations and understandings, whether written or oral. Any amendment or modification must be in writing and signed by authorized representatives of both parties.
