WHEREAS, the Client seeks to retain the Service Provider to perform services and to provide factual declarations and authorizations necessary to commence the engagement; and

WHEREAS, the Service Provider requires accurate client representations, confirmations of authority, and confidentiality assurances in order to perform the scope of work described below; and

WHEREAS, the parties intend for this Client Declaration Form to govern the parties' mutual representations, payment terms, confidentiality obligations, and the term of the engagement.

The Client has full power and authority to execute this Form and to instruct the Service Provider with respect to the matters described herein.

All information provided to the Service Provider is true, accurate, and complete to the best of the Client's knowledge and belief.

The execution and performance of this Form will not violate any agreement, obligation, or law applicable to the Client.

The Client will promptly notify the Service Provider of any change in circumstances that would render any representation herein inaccurate.

SCOPE OF WORK

The Service Provider will perform the services described below in accordance with the representations and instructions provided by the Client. The Scope of Work may be amended only by written mutual agreement signed by both parties.

PAYMENT TERMS

Client agrees to pay the Service Provider in accordance with the following terms.

TERM AND TERMINATION

This Agreement commences on Start Date: and continues until End Date: unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for convenience upon written notice to the other party given at least prior to the effective termination date. Termination for cause may be immediate where a party materially breaches a representation or obligation and fails to cure within a reasonable period not to exceed 15 days following notice.

CONFIDENTIALITY

The Client and Service Provider acknowledge that each may receive Confidential Information. "Confidential Information" means non-public information disclosed by either party in any form. Each party agrees to (a) use Confidential Information solely for purposes of performing its obligations under this Agreement; (b) restrict disclosure to employees or agents having a need to know; and (c) protect the information with at least the same degree of care as it applies to its own confidential information, but no less than reasonable care. Confidential Information does not include information that is or becomes publicly available other than through a breach of this Agreement, or that is independently developed by the receiving party without use of the disclosing party's Confidential Information.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of laws principles.

ENTIRE AGREEMENT

This document, together with any written amendments signed by both parties, constitutes the entire agreement between the Client and the Service Provider with respect to the subject matter herein and supersedes all prior and contemporaneous agreements, proposals, and communications, whether oral or written.

CERTIFICATION

The undersigned Client certifies that the information provided in this Form is true, complete, and accurate and that the person signing on behalf of a corporate entity has the authority to bind that entity.
