Term and Termination

This Agreement commences on Start Date: and continues until End Date: unless earlier terminated in accordance with this section.

Either Party may terminate for convenience upon providing written notice at least days prior to the intended termination date. Material breach that is not cured within thirty (30) days after written notice shall entitle the non-breaching Party to terminate immediately.

Confidentiality

During the term of this Agreement and thereafter, each Party shall maintain the confidentiality of all non-public information disclosed by the other Party that is designated confidential or would reasonably be considered confidential given the nature of the information and the circumstances of disclosure ("Confidential Information"). Confidential Information shall not include information that is or becomes publicly available through no wrongful act of the receiving Party, independently developed without use of the other Party's Confidential Information, or rightfully received from a third party without restriction. The receiving Party shall use at least the same degree of care to protect Confidential Information as it uses to protect its own confidential information, but no less than reasonable care.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles.

Entire Agreement

This document, together with any attachments and the Scope of Work contained herein, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written. Any amendment or modification must be in writing and signed by both Parties.

Client Certifications & Consents

By signing below, Client certifies that the information provided above is true and accurate to the best of Client's knowledge. Client authorizes Service Provider to use the information for service delivery, billing, and compliance purposes and acknowledges notice of the Provider's confidentiality practices.
