Confidentiality

For the purposes of this Questionnaire and any engagement, "Confidential Information" means all non-public information disclosed by either party that is marked confidential or which a reasonable person would understand to be confidential. Service Provider shall use Confidential Information solely to perform the engagement and shall not disclose such information except as required by law or as necessary to perform the services, provided that recipients are bound by confidentiality obligations no less protective than those herein.

Confidentiality obligations shall survive termination of the engagement for a period of three (3) years, except where applicable law requires a longer period or where trade secrets or privileged communications are involved.

Governing Law and Entire Agreement

This Questionnaire and any subsequently executed engagement agreement constitute the entire agreement between the parties concerning the subject matter hereof and supersede all prior and contemporaneous understandings, representations, and agreements.
