RECITALS

WHEREAS, Distributor maintains systems and processes to receive, allocate and disburse funds or assets to clients in accordance with client instructions and applicable agreements; and

WHEREAS, Client desires Distributor to make distributions on Client's behalf to one or more recipients or accounts as detailed in this form and pursuant to the terms set forth below; and

WHEREAS, the parties wish to set forth the scope, timing and legal terms governing such distributions.

SCOPE OF WORK

Distributor shall perform the following distribution services on behalf of Client. Distributor's duties shall include receipt of funds, allocation according to the distribution instructions provided by Client, execution of payments to designated recipients or accounts, reconciliation of distributions, and delivery of distribution reports to Client in accordance with the schedule below.

If a late fee is not elected above, parties acknowledge that interest may accrue at a commercially reasonable rate agreed in writing prior to the due date.

Either party may terminate this Agreement for convenience upon written notice delivered no fewer than days prior to the intended termination date. Termination for cause may be effected immediately upon written notice where a material breach is not cured within thirty (30) days of notice.

CONFIDENTIALITY

Each party acknowledges that certain information disclosed in connection with distributions and administration under this Agreement may be confidential. Each party shall maintain the confidentiality of such information and shall not disclose it to any third party except (i) as necessary to perform under this Agreement, (ii) as required by law, or (iii) with the prior written consent of the disclosing party. Confidential information shall not include information which is or becomes publicly available other than by breach of this Agreement.

REPRESENTATIONS AND WARRANTIES

Each party represents and warrants that it has full power and authority to enter into this Agreement and to perform its obligations hereunder. Client represents that the distribution instructions provided are accurate and that Client has the right to direct distributions to the designated recipients or accounts.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of laws principles.

LIMITATION OF LIABILITY

Distributor's liability for any claim arising out of or related to this Agreement shall be limited to direct damages and shall not exceed the aggregate amount of distributions made under this Agreement during the twelve (12) month period preceding the event giving rise to the claim. IN NO EVENT SHALL EITHER PARTY BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES.

ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations and understandings, whether oral or written. Any amendment or modification must be in writing and signed by both parties.
