Common mistakes when preparing the Client Document 2024

  • Using abbreviated or inconsistent party names that make identity verification and tax reporting difficult.
  • Leaving required fields blank, especially effective dates and payment terms, which can void contractual obligations.
  • Failing to collect consent disclosures for consumer-facing electronic records as required under 15 U.S.C. §7001.
  • Not matching signature names to legal names, causing verification failures and potential payment withholding.

Practical tips for accurate and efficient completion

Follow these practices to reduce errors, speed approvals, and support enforceability.

Use precise legal names
Confirm legal entity or individual names against formation documents or government-issued IDs. Consistency prevents TIN mismatches, reduces tax reporting issues, and shortens verification time when cross-referencing payment or compliance systems.
Standardize dates and formats
Adopt MM/DD/YYYY for all dates, use two-letter state abbreviations, and require numeric values for monetary fields. Standardization reduces parsing errors when exporting data to accounting or CRM systems.
Include consent language for e-signing
For consumer-facing agreements, provide the ESIGN consumer disclosure that describes the right to paper records and methods to withdraw consent to electronic transactions to satisfy 15 U.S.C. §7001(c).
Archive with audit trail
Store executed documents with a retained audit trail showing signer identity, timestamps, IP addresses, and any authentication steps to support admissibility and compliance reviews.
