Parties

Recitals

WHEREAS, Client desires to obtain certain services and deliverables from Service Provider as set forth in this agreement; and

WHEREAS, Service Provider represents that it has the experience, personnel, and resources necessary to perform the services described herein and agrees to perform such services in accordance with the terms of this agreement; and

WHEREAS, the parties wish to set forth their respective rights and obligations with respect to the services, payment, confidentiality, and other matters described in this agreement.

Scope of Work

Service Provider shall perform the services and provide deliverables as described below. The scope shall include all tasks, milestones, and acceptance criteria necessary to satisfy the Client's objectives. Any changes to scope shall be documented and signed by both parties.

Payment Terms

Client shall pay Service Provider the fees set forth below in consideration for the performance of the services and delivery of the deliverables. Fees are exclusive of applicable taxes unless otherwise stated.

Late payments shall accrue interest at the rate specified below and Client shall be responsible for reasonable costs of collection, including attorneys' fees.

Term and Termination

This agreement commences on Start Date: and shall continue until End Date: unless earlier terminated in accordance with this section.

Either party may terminate this agreement for material breach by the other party if the breaching party fails to cure such breach within the notice period specified below following written notice of the breach.

Upon termination, Client shall pay Service Provider for all work performed and reasonable costs incurred through the date of termination. Sections that by their nature survive termination shall remain in effect.

Confidentiality

Each party acknowledges that it may receive Confidential Information from the other. "Confidential Information" means non-public business, technical, financial, or other information disclosed in any form that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure.

The receiving party shall: (a) use Confidential Information solely for the performance of this agreement; (b) restrict disclosure to employees, contractors, and agents who have a need to know and are bound by confidentiality obligations at least as protective as those herein; and (c) exercise at least the same degree of care to protect Confidential Information as it uses to protect its own confidential information, but in no event less than reasonable care.

Confidential Information shall not include information that: (i) is or becomes generally available to the public through no wrongful act of the receiving party; (ii) was known to the receiving party prior to disclosure without an obligation of confidentiality; (iii) is rightfully received from a third party without restriction; or (iv) is independently developed by the receiving party without use of the disclosing party's Confidential Information.

Governing Law

This agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its choice-of-law principles. The parties submit to the exclusive jurisdiction of the state and federal courts located within that State for any dispute arising under this agreement.

Entire Agreement

This agreement, including any attachments and written change orders signed by both parties, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written. No amendment shall be effective unless in writing and signed by authorized representatives of both parties.

Each party represents and warrants that it has full power and authority to enter into this agreement, that the person signing on its behalf is authorized to bind the party, and that the performance of its obligations will not violate any other agreement or legal obligation.
