Either party may terminate for convenience upon written notice of days. Termination for material breach is immediate if breach is not cured within 10 days of written notice, unless another cure period is specified in writing.

Confidentiality

Each party acknowledges that in performance of this Agreement it may receive confidential or proprietary information ("Confidential Information"). Confidential Information shall not be disclosed to third parties and shall be used solely for performance under this Agreement. Recipient will protect Confidential Information with at least the same degree of care it uses to protect its own confidential information, but no less than reasonable care. The obligations of confidentiality survive termination for a period of three (3) years, except for trade secrets which shall remain protected for as long as they qualify as trade secrets under applicable law.

Intellectual Property and Use

All original drawings, CAD files and deliverables prepared by Designer remain Designer's original work. Upon receipt of final payment in full, Designer grants Client a non-exclusive, non-transferable license to use the deliverables for the Project specified in this Agreement. Designer retains the right to reuse general design concepts and non-client-specific details. Any use beyond the Project requires separate written license.

If Client uses preliminary or unpaid-for materials, such use is at Client's risk and Designer disclaims liability until payment is received in full. Client shall not remove Designer's copyright notices or attribution from any deliverable.

Warranties, Liability and Indemnity

Designer warrants that services will be performed in a professional manner in accordance with customary industry standards. Except for this express warranty, all warranties are disclaimed to the fullest extent permitted by law. Neither party shall be liable for consequential, special, incidental or punitive damages. Client agrees to indemnify and hold Designer harmless from claims arising from Client-provided information, instructions, or misuse of the deliverables.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles.

Entire Agreement

This document, including any attachments and referenced scopes, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations, representations or agreements, whether written or oral. No amendment is effective unless in writing and signed by both parties.
