WHEREAS

WHEREAS, Client desires to engage Service Provider to perform the services described herein and Service Provider agrees to perform such services pursuant to the terms and conditions set forth in this Agreement.

WHEREAS, the parties intend that this Agreement establish the scope of work, compensation, confidentiality obligations, and consent to use electronic signatures and records with the same force and effect as wet-ink signatures.

SCOPE OF WORK

Service Provider will perform the services described below. All work shall be performed in a professional manner in accordance with industry standards and the following description:

PAYMENT TERMS

Invoices will be delivered to the address for notices below and are payable within days of invoice. Late fees shall accrue monthly on outstanding balances as set forth above and interest shall be calculated from the due date until paid in full.

TERM AND TERMINATION

This Agreement commences on Start Date: and will continue until End Date: unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for material breach if the breaching party fails to cure such breach within days after receipt of written notice. Either party may terminate for convenience upon days' prior written notice to the other party.

CONFIDENTIALITY

"Confidential Information" means non-public information disclosed by either party in connection with this Agreement, whether oral, written, electronic or other form, including business plans, client data, pricing, technical information and trade secrets. Recipient shall: (a) use Confidential Information solely for performance of this Agreement; (b) restrict disclosure to employees and contractors with a need to know and who are bound by confidentiality obligations no less protective than those herein; and (c) exercise at least reasonable care to protect the Confidential Information. Confidential Information does not include information that: (i) is or becomes public through no breach by Recipient; (ii) was rightfully known without restriction prior to disclosure; (iii) is received from a third party without restriction and without breach of a confidentiality obligation; or (iv) is independently developed without reference to the Confidential Information.

The obligations in this section shall survive termination of the Agreement for a period of years, except with respect to trade secrets, for which obligations shall remain in effect as long as the information qualifies as a trade secret.

ELECTRONIC SIGNATURE CONSENT

The parties agree that this Agreement and any related documents may be executed by electronic signature. By checking the consent box and signing below, each party consents to the use of electronic signatures, agrees that such electronic signatures are intended to have the same force and effect as an original handwritten signature, and authorizes the use of electronic records for transaction evidence and retention.

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles.

ENTIRE AGREEMENT

Any amendment must be in writing and signed by authorized representatives of both parties.
