CLIENT ELIGIBILITY FORM

This Client Eligibility Form and General Business Agreement (the "Agreement") is entered into effective as of by and between Client Name: and Service Provider Name: .

WHEREAS

WHEREAS, Client seeks to obtain services from Provider and has submitted required information to permit Provider to assess Client's eligibility for the requested program or services; and

WHEREAS, Provider is willing to provide such services conditional upon Client meeting the eligibility criteria set forth in this Agreement and completing the certification and documentation requirements; and

WHEREAS, the parties intend for this form to operate as both an eligibility determination instrument and a binding business agreement governing the delivery, payment, confidentiality, and other terms described below.

SCOPE OF WORK

Provider shall perform the services described below for Client in accordance with the terms of this Agreement. The Scope of Work shall be limited to the activities expressly described and any modification must be mutually agreed in writing.

ELIGIBILITY CRITERIA

The Client represents and warrants that the following criteria are true and current. Client must check all boxes that apply and submit supporting documentation as requested by Provider.

PAYMENT TERMS

Client agrees to pay Provider for services performed in accordance with the following payment provisions. All amounts are due in U.S. dollars unless otherwise agreed in writing.

TERM AND TERMINATION

The term of this Agreement begins on and continues until unless earlier terminated as provided herein. Either party may terminate this Agreement for convenience upon written notice delivered at least days prior to the intended termination date.

Termination for cause may occur immediately upon written notice if the other party materially breaches any provision of this Agreement and fails to cure such breach within 15 days after receipt of written notice specifying the breach.

CONFIDENTIALITY

Each party acknowledges that during performance under this Agreement it may receive confidential and proprietary information of the other party ("Confidential Information"). Each party shall (a) use Confidential Information solely for the purposes of performing obligations under this Agreement; (b) protect Confidential Information with at least the same degree of care it uses to protect its own confidential information, but no less than a reasonable standard of care; and (c) not disclose Confidential Information to third parties except as required by law or with the prior written consent of the disclosing party.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles. The parties submit to the exclusive jurisdiction of the courts located in that State for any dispute arising out of this Agreement.

ENTIRE AGREEMENT

This Agreement, including all attachments and documents incorporated by reference, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and understandings, whether written or oral. Any amendment must be in writing and signed by both parties.

By signing below, Client certifies under penalty of perjury that the information provided in this form is true, accurate, and complete to the best of Client's knowledge. Provider may rely upon these representations in determining eligibility and in providing services.
