Confidentiality

All non-public information exchanged by the parties in connection with the investigation and response to the feedback shall be treated as Confidential Information. Each party shall protect such Confidential Information from unauthorized disclosure using at least the same degree of care it uses to protect its own confidential information, but in no event less than reasonable care. Confidential Information shall not include information that is or becomes generally available to the public other than through a breach by the receiving party.

Governing Law

Entire Agreement

This document, together with any referenced purchase orders, service agreements, or written amendments signed by both parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals and communications, whether oral or written. No amendment or waiver shall be effective unless in writing and signed by authorized representatives of both parties.
