CLIENT FEEDBACK REVIEW AGREEMENT

This Client Feedback Review Agreement (the Agreement) is entered into as of by and between Client Name: (Client), and Service Provider Name: (Provider). Client and Provider are each referred to individually as a Party and collectively as the Parties.

WHEREAS

WHEREAS, Client has collected qualitative and quantitative feedback from its customers, users, or stakeholders and requires a comprehensive review, analysis and recommendations regarding such feedback;

WHEREAS, Provider represents that it has the qualifications, experience, and personnel necessary to perform a structured review of Client feedback, prepare an analysis of trends and issues, and deliver written findings and recommended action plans; and

WHEREAS, the Parties desire to set forth the terms and conditions under which Provider will perform the feedback review services and Client will compensate Provider.

SCOPE OF WORK

Provider shall perform the services described below and deliver the identified deliverables in accordance with the terms of this Agreement.

PAYMENT TERMS

Client shall pay Provider for services in accordance with the fees and schedule set forth below. All fees are exclusive of taxes unless otherwise stated.

TERM AND TERMINATION

This Agreement shall commence on and shall continue until unless earlier terminated as provided herein.

Either Party may terminate this Agreement for material breach by the other Party if such breach remains uncured thirty (30) days after written notice specifying the breach. Termination shall not relieve Client of its obligation to pay for services rendered and work in progress through the effective date of termination.

CONFIDENTIALITY

Each Party acknowledges that in the course of performance it may receive Confidential Information of the other Party. “Confidential Information” means non-public information disclosed in any form that is identified as confidential or that reasonably should be understood to be confidential. Each Party shall: (a) hold the other Party’s Confidential Information in strict confidence; (b) use it solely to perform obligations under this Agreement; and (c) restrict access to those employees and contractors who have a need to know and are bound by confidentiality obligations no less protective than those set forth in this Agreement. Confidential Information does not include information that is or becomes publicly available through no fault of the receiving Party or was rightfully known prior to disclosure.

Client and Provider acknowledge and agree that the foregoing confidentiality obligations shall survive termination of this Agreement for a period of three (3) years, except for trade secrets which shall be protected for as long as they remain trade secrets under applicable law.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles. The Parties submit to the exclusive jurisdiction of courts located in that State for disputes arising under this Agreement.

ENTIRE AGREEMENT

This Agreement, including any schedules or attachments expressly incorporated herein, constitutes the entire agreement between the Parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, proposals, or representations, written or oral, relating to such subject matter. Any amendment or modification of this Agreement must be in writing and signed by authorized representatives of both Parties.

CLIENT FEEDBACK REVIEW INPUTS

Client confirms that all feedback provided to Provider has been obtained in compliance with applicable privacy and data protection obligations and that any personal data has been appropriately de-identified unless explicit consent for identifiable processing has been obtained.

ADDITIONAL TERMS

Assignment: Neither Party may assign this Agreement without the prior written consent of the other Party, except that Provider may assign to an affiliate or in connection with a sale of substantially all of its business assets.

Independent Contractor: Provider is an independent contractor. Nothing in this Agreement creates an employment, partnership, joint venture or agency relationship between the Parties.
