WHEREAS, Service Provider represents that it has the expertise, personnel, and systems necessary to design, administer, and analyze a Client Feedback Survey in accordance with the terms set forth herein; and

NOW, THEREFORE, in consideration of the mutual covenants set forth in this Proposal and for other good and valuable consideration, the receipt and adequacy of which are acknowledged, the parties agree as follows:

All fees are exclusive of taxes unless otherwise indicated. Reimbursable expenses (if any) will be billed in accordance with the Payment Schedule and require prior written approval from Client.

Either party may terminate this Proposal for convenience upon written notice to the other party at least prior to the intended termination date. Termination for material breach may be immediate if the breaching party fails to cure within 14 days after written notice.

Confidentiality and Data Handling

Each party shall maintain in confidence all Confidential Information of the other party disclosed in connection with this Proposal and shall not use or disclose such information except as necessary to perform under this Proposal. "Confidential Information" includes survey responses, raw data, analysis, business information, and any information marked or reasonably understood to be confidential, but excludes information that is publicly known through no fault of the receiving party or that becomes known through a third party having the right to disclose it.

Provider will implement reasonable administrative, technical, and physical safeguards to protect survey data. Client data will be de-identified in reports unless the parties expressly agree otherwise in writing. Provider will comply with applicable privacy and data protection laws in the collection, storage, processing, and transfer of personal data.

Intellectual Property and Use Rights

All intellectual property rights in the methodologies, survey instruments, templates, and Provider's proprietary tools used to perform the Services remain with Provider. Client is granted a non-exclusive, non-transferable license to use deliverables for internal business purposes. Raw respondent data ownership and any required data transfer shall be addressed as set forth in the Deliverables section and by mutual written agreement.

Limitation of Liability

Except for liability arising from wilful misconduct or gross negligence, each party's aggregate liability under or in connection with this Proposal shall not exceed the total fees paid by Client to Provider under this Proposal. Neither party shall be liable for consequential, incidental, punitive, or special damages.

Governing Law and Dispute Resolution

This Proposal shall be governed by and construed in accordance with the laws of the state of without regard to conflict of laws principles. Parties shall first seek to resolve disputes in good faith through negotiation, and if unresolved, submit disputes to binding arbitration in accordance with the agreed arbitration rules.

Entire Agreement

This Proposal, including any attachments or incorporated statements of work, constitutes the entire agreement between Client and Provider with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications, whether written or oral. No modification shall be effective unless signed by an authorized representative of both parties.
