Recitals

WHEREAS, Client Name: (the "Client") is a recipient of services from Service Provider: (the "Service Provider"); and

WHEREAS, the parties desire to temporarily suspend or modify the provision of certain services and corresponding billing (the "Freeze") pursuant to the terms set forth in this Agreement; and

WHEREAS, the parties agree that the terms below shall govern the Freeze, including the services affected, fees, duration, and procedures to resume normal service.

Term and Termination

This Freeze commences on the Effective Start Date set forth above and will continue until the Expected End Date set forth above unless earlier terminated in accordance with this Agreement.

Either party may terminate this Freeze upon written notice to the other party delivered at least days prior to the intended termination date. Termination for material breach may be immediate as provided herein.

Confidentiality

Each party shall maintain in confidence all non-public information and materials obtained from the other party in connection with this Freeze. Confidential information shall not be disclosed except to the extent necessary to perform obligations under this Freeze or as required by law. The obligations set forth in this paragraph survive termination of the Freeze for a period of two years.

Liability and Indemnification

Each party agrees to indemnify, defend, and hold the other harmless from and against any third-party claims arising out of the indemnifying party's negligent performance, willful misconduct, or breach of this Agreement. Except for indemnification obligations, in no event shall either party be liable for consequential, incidental, special, or punitive damages.

This Agreement shall be governed by and construed in accordance with the laws of the state or jurisdiction identified by the Service Provider: , without regard to its conflict-of-law principles.

Entire Agreement
