Term and Termination

Either Party may terminate this handover for material breach if the breaching party fails to cure the breach within the notice period specified above. Termination does not relieve either Party of obligations accrued prior to termination, including payment obligations.

Confidentiality

Each Party shall hold all Confidential Information of the other Party in strict confidence and shall not disclose such information to any third party except as required by law or as necessary to effectuate the handover. "Confidential Information" includes, without limitation, client data, access credentials, financial information, trade secrets, and any material designated as confidential. The obligations set forth herein shall survive termination of this Agreement for a period of three (3) years.

Representations and Warranties

Transferor represents and warrants that it has the lawful authority to transfer the items listed above, that the materials provided do not infringe third-party rights, and that to the best of its knowledge no pending claims will impede Transferee's lawful use of the delivered materials. Transferor will disclose any known third-party encumbrances in the Notes field below.
