Scope of Work

The Service Provider shall perform the services described below for Client. The description below identifies deliverables and general duties; a separate statement of work may be attached and incorporated by reference if required.

Payment Terms

Client shall pay Service Provider the fees described below in consideration of the services. All amounts are payable in lawful currency unless otherwise agreed in writing.

Invoices are due as set forth above. Overdue amounts shall accrue interest at the stated rate and Client shall be responsible for reasonable costs of collection, including attorneys' fees and court costs where permitted by law.

Term and Termination

This Agreement commences on Start Date and continues until End Date unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for material breach if such breach is not cured within the notice period above. Termination for convenience requires the stated notice and payment for work performed through the effective termination date.

Confidentiality

Each party shall hold confidential and not disclose to any third party any non-public information obtained from the other party in connection with this Agreement, except as required by law or with prior written consent. Confidential information excludes information that is or becomes publicly known through no wrongful act of the receiving party.

Governing Law; Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the state of Governing State: without regard to conflict of law principles. The parties shall first seek to resolve disputes through good faith negotiation prior to initiating any litigation.

Certifications; Entire Agreement

Client certifies that the information provided in this Client Identification Record is true, complete and accurate to the best of Client's knowledge and that Client will promptly notify Service Provider in writing of any material changes. Client acknowledges that Service Provider may retain records of identification and verification documents as required by applicable law.

This document, together with any attachments and incorporated statements of work, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior understandings and agreements, whether written or oral. Amendments must be made in writing and signed by authorized representatives of both parties.
