What the Client Inclusions PA Document Is

The Client Inclusions PA Document is a contract addendum that lists goods, services, deliverables, and client-provided items incorporated into a Project Agreement (PA). It defines which tasks and materials are in scope, allocates responsibilities, and records assumptions and exclusions to reduce ambiguity in project delivery and invoicing.

Why a Clear Inclusions List Matters

A precise Client Inclusions PA Document reduces disputes by setting expectations, clarifying handoffs, and linking payment milestones to deliverables. It protects both parties by documenting what is included, what is excluded, and any client obligations required to meet timelines.

Why a Clear Inclusions List Matters

Who Typically Prepares and Uses This Document

Project managers, account leads, procurement teams, and outside counsel commonly prepare the Client Inclusions PA Document to align scope and billing.

  • Internal project manager: drafts inclusions during scoping and coordinates client confirmation.
  • Client procurement or PMO: reviews and approves inclusions to confirm handoff responsibilities.
  • Legal or contract admin: reviews language for liability, warranties, and gating conditions.

Once signed by authorized representatives, the inclusions list is incorporated into the PA and used for acceptance testing and invoicing.

Core Parts of a Professional Client Inclusions PA Document

A complete inclusions addendum organizes scope into discrete elements, responsibilities, timing, and acceptance criteria so stakeholders can confirm what the provider will deliver and what the client must supply.

Deliverables

Itemized list of tangible outputs, each with versioning, format, and acceptance criteria to avoid scope creep and to map to payment milestones.

Client Responsibilities

Specific client-provided items, access requirements, approvals, and decision deadlines that the provider depends on to meet planned timelines.

Exclusions

Explicitly stated items and services that are outside scope, preventing assumptions and clarifying when change orders or additional fees apply.

Assumptions

Operational or environmental assumptions that affect cost or schedule; these provide context for risk allocation and help justify contingency.

Acceptance Criteria

Measurable tests, sign-off steps, and defect thresholds used to determine when deliverables are complete and billable.

Schedule Links

Milestone dates tied to deliverables and client actions, used to trigger invoices and track performance against the PA timeline.

Essential Fields to Include

Client Name: Full legal name
Provider Name: Registered entity name
Effective Date: MM/DD/YYYY
Deliverable ID: Unique identifier
Acceptance Owner: Name and role
Billing Trigger: Milestone or acceptance

Step-by-Step: Completing the Client Inclusions PA Document

Use this sequence to draft, review, and finalize inclusions with minimal rework and clear approvals.

  • 01
Draft Scope: List deliverables and client obligations in separate sections.
  • 02
Add Acceptance: Define pass/fail tests tied to each deliverable.
  • 03
Review Internally: Legal and PM review for risk and feasibility.
  • 04
Execute: Obtain signatures from authorized representatives.

How to Configure the Document for Digital Workflows

Standardize fields and routing so eSigning platforms capture approvals, timestamps, and evidence required for enforceability.

Field Configuration
Signature Field Required; signer name and date capture
Initials Field Optional; use for multi-page acknowledgment
Conditional Fields Show only when specific deliverables selected
Routing Order Sequential: provider then client approver

Where to Send and How Processing Works

Routing and destination choices affect evidence retention and enforceability; choose recipients and archival destinations deliberately.

  • Contract Repository: Upload final signed copy to your contract management system.
  • Accounts Payable: Notify AP to link invoices to acceptance milestones.
  • Project Team: Share acceptance tests and deliverable owners for handoff.
  • Legal Archive: Store executed addendum for dispute defense.

Digital Signing and Distribution Options

Choose a signing platform and delivery channels that preserve audit trails, support required authentication, and meet your retention obligations.

  • Document Formats: PDF and DOCX supported
  • Integrations: Connects with CRM and storage systems
  • Authentication: Email, SMS, or advanced methods

Use platforms that capture timestamps, IP addresses, and signer actions to support ESIGN/UETA compliance and to simplify recordkeeping.

Typical Timelines and Processing Expectations

Set clear internal deadlines for client inputs and provider reviews to avoid schedule slips tied to missing inclusions or approvals.

Client Deliverables Due:

Specify calendar dates or relative offsets tied to project start.

Provider Review Period:

State number of business days for provider acceptance checks.

Sign-off Deadline:

Date by which both parties must sign to lock scope.

Billing Trigger:

Milestone or acceptance event that triggers invoice.

Change Order Window:

Timing and notice required for scope change requests.

Key Milestones for This Addendum

A sequential milestone view helps operational teams track when client inputs are required and when billable events occur.

01

Scope Drafted

Provider prepares initial inclusions for client review.

02

Client Review

Client examines list and identifies missing items.

03

Mutual Revision

Parties reconcile differences and finalize entries.

04

Execution and Archive

Authorized signatures obtained and documents archived.

Common Mistakes to Avoid

  • Leaving deliverables vague or unnumbered, which creates subjective acceptance disputes and increases change order requests.
  • Failing to list client-supplied items such as credentials or datasets, causing schedule delays when items arrive late.
  • Using informal sign-off like email approval without clear audit evidence, which complicates enforcement under ESIGN/UETA.
  • Not aligning billing triggers with acceptance criteria, which leads to invoice disputes and delayed payments.

Risks and Consequences of an Incomplete Addendum

Payment Disputes: Delayed or withheld payments
Schedule Delays: Missing client items extend timelines
Scope Creep: Undocumented work increases costs
Contract Ambiguity: Legal exposure on deliverable definitions
Operational Rework: Extra labor and reduced margins
Regulatory Risk: Noncompliance for regulated content

Who Can Sign This Addendum

Client - Authorized Representative

The person listed must be an officer, director, or other individual with express authority to bind the client organization; include title and corporate authorization details to avoid signature challenges.

Provider - Authorized Signer

An officer or delegated manager with contracting authority should sign; include a reference to corporate resolution or delegation of authority when applicable.

Practical Tips for Accurate and Efficient Completion

Adopt these habits to reduce rework, speed approvals, and ensure the inclusions document supports billing and acceptance.

Keep Deliverables Specific and Measurable
Describe deliverables with concrete outputs and acceptance tests to prevent subjective disputes; attach samples or templates when possible to illustrate expectations.
Use Conditional Fields in Digital Forms
Show or hide sections based on selected options to keep the document concise and reduce signer confusion during eSignature workflows.
Align Billing with Acceptance Events
Tie invoices to clearly documented acceptance criteria and milestone dates so accounts payable can reconcile quickly with minimal back-and-forth.
Preserve Evidence of Client Inputs
Retain timestamps, delivered files, and communications proving the client provided required items on schedule to defend against delay claims.
