What the Client Information Addendum Is

The Client Information Addendum is a short, standardized attachment to an agreement that collects and confirms key client data needed for onboarding, billing, compliance, and recordkeeping. It typically records legal entity name, primary contacts, tax identification, billing instructions, authorized signers, and any required privacy or HIPAA data-use permissions. Organizations use this addendum to reduce back-and-forth, create a single source of truth for administrative details, and ensure the main agreement references accurate client information throughout the engagement lifecycle.

Why organizations include a Client Information Addendum

A clear addendum minimizes administrative errors, speeds onboarding, and centralizes client data for billing, tax reporting, and compliance. It also documents signer authority and consent for electronic records where required under U.S. law.

Why organizations include a Client Information Addendum

Who completes the Client Information Addendum and why

Use it as part of your onboarding checklist to prevent rework and to document consent for electronic communications under ESIGN and UETA.

  • Law firms and legal departments who must record authorized signers and retain verifiable contact records.
  • Finance and accounting teams that need accurate billing, W-9/TIN data, and invoicing instructions.
  • Client success and onboarding teams that require primary contacts and delivery preferences to begin work quickly.

Core elements of a professional Client Information Addendum

A complete addendum is concise but comprehensive: it confirms identity, tax and billing details, contact points, signer authority, confidentiality choices, and any regulatory consents relevant to the engagement.

Client Identity

Full legal name, DBA if applicable, and entity type (individual, LLC, corporation). This ensures legal accuracy for contracts and tax reporting.

Tax and TIN

Federal Tax ID or SSN and W-9 attachment or confirmation. Accurate TINs prevent backup withholding and support 1099 reporting.

Primary Contacts

Names, roles, phone numbers, and business email addresses for billing, technical, and legal contacts to streamline communications.

Authorized Signers

Name, title, and authorization scope for each signer. Identifying authority avoids later disputes over contract validity.

Data & Privacy Notes

Indicate HIPAA, FERPA, or other data protections and whether a Business Associate Agreement or privacy addendum is required.

Billing Instructions

Preferred billing address, payment terms, PO number if required, and electronic payment preferences to reduce invoicing delays.

Required client data fields (short reference)

Full legal name: Exact name on government ID
Tax identifier: EIN or SSN/TIN
Primary email: Business address for notices
Billing address: Street, city, state, ZIP
Authorized signer: Name and title
Data classification: HIPAA/FERPA indicator

Step-by-step: completing the addendum

Follow these practical steps to complete and verify the Client Information Addendum before attaching it to the main agreement.

  • 01
Gather documents: Collect W-9, formation documents, and an ID for verification.
  • 02
Fill core fields: Enter legal name, TIN, address, and contact details.
  • 03
Confirm signer: Record authorized signer name and job title precisely.
  • 04

  • Formats: PDF, DOCX accepted
  • Integrations: CRM, accounting, cloud storage
  • Security: TLS 1.2/1.3 and AES-256

Timelines to collect and process the addendum

Set clear internal deadlines so client onboarding and compliance checks proceed without delay.

Submission deadline:

Provide addendum within 5 business days of engagement acceptance

Tax reporting:

Obtain TIN before year-end 1099 processing (prepare by Jan)

Onboarding hold:

Delay work start until required fields verified

Record export:

Export executed addendum to archive within 24 hours

Periodic review:

Reconfirm data annually or on contract renewal

Common mistakes when preparing a Client Information Addendum

  • Entering a trade name instead of the legal entity name, causing mismatch with tax and payment systems.
  • Failing to capture the authorized signer’s title and scope, which can invalidate subsequent approvals.
  • Omitting a required HIPAA or privacy addendum when handling protected health information.
  • Allowing partial or handwritten TINs that trigger backup withholding or tax-reporting delays.

Risks and potential penalties from incorrect or missing information

Backup withholding: 24% may apply for incorrect or missing TIN
Tax penalties: Late or incorrect 1099s incur IRC §6721 penalties
HIPAA exposure: Improper consents increase regulatory liability
Contract disputes: Unclear signer authority risks enforceability issues
Payment delays: Missing PO or billing info stalls invoices
Recordkeeping failures: Insufficient retention can hamper audits

Real-world examples using a Client Information Addendum

These two examples show how organizations use an addendum to streamline onboarding and enforce compliance requirements.

Martin Properties

The property management firm standardized an addendum to capture owner and tax details at lease inception.

  • This reduced repeated follow-ups for missing W-9s.
  • Tim Martin, Founder, reported processing and executing documents online with compliance and security, enabling efficient remote closings across multiple properties.

Fertility Centers

A healthcare provider added HIPAA flags and required BAAs to its addendum during patient onboarding.

  • This ensured PHI handling rules were documented before services began.
  • John Butler, Founder, praised the platform’s responsiveness and API flexibility that helped integrate signed addenda with clinical and billing systems.
