Recitals

WHEREAS, Client engages in commercial activities and requires professional services and administration of client records for business operations; and

WHEREAS, Service Provider is engaged in providing the services described in this Agreement and possesses the personnel, systems, and expertise to provide such services; and

WHEREAS, the parties desire to set forth the terms by which Service Provider will collect, maintain, and manage Client information and perform related services as set forth below.

Late Payment: A late fee of will be assessed for invoices unpaid more than days past the invoice due date. Interest thereafter will accrue at per month, or the maximum permitted by law, whichever is less.

3. Scope of Work

Service Provider shall perform the services described above in a professional manner consistent with industry standards. Deliverables, acceptance criteria, and milestones shall be detailed in the Scope of Work and any attached schedules. Client shall provide timely access to information and personnel as reasonably required for performance.

Either party may terminate this Agreement for convenience upon written notice to the other party no fewer than days. Either party may also terminate immediately for material breach that remains uncured for days after written notice of such breach. Upon termination, Service Provider shall deliver all Client records and outstanding deliverables upon payment of accrued fees.

5. Confidentiality

For purposes of this Agreement, Confidential Information means nonpublic information disclosed by one party (Disclosing Party) to the other (Receiving Party) that is designated confidential or that reasonably should be understood to be confidential given the nature of the information. Receiving Party shall (a) use Confidential Information solely for performance of obligations under this Agreement; (b) restrict disclosure to employees, contractors, and agents who have a need to know and are bound by confidentiality obligations at least as protective as those set forth herein; and (c) not disclose Confidential Information to any third party without prior written consent of the Disclosing Party, except as required by law or court order, provided that Receiving Party gives prompt written notice to Disclosing Party to allow it to seek protective relief.

Confidentiality obligations shall survive termination of this Agreement for a period of years, except that trade secrets shall remain protected for so long as they qualify as trade secrets under applicable law.

6. Representations & Warranties; Liability

Each party represents that it has the full right, power and authority to enter into this Agreement and to perform its obligations. Service Provider warrants that services will be performed in a professional and workmanlike manner. EXCEPT AS EXPRESSLY SET FORTH IN THIS AGREEMENT, SERVICES ARE PROVIDED "AS IS" AND PROVIDER DISCLAIMS ALL OTHER WARRANTIES, WHETHER EXPRESS OR IMPLIED, TO THE MAXIMUM EXTENT PERMITTED BY LAW.

Neither party shall be liable to the other for consequential, incidental, special or punitive damages, except for liability arising from gross negligence, willful misconduct, or breach of confidentiality. The aggregate liability of either party for claims arising out of or relating to this Agreement shall not exceed the total fees paid by Client to Service Provider under this Agreement in the twelve (12) months preceding the claim.

7. Governing Law; Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of Governing Law: without giving effect to its conflicts of law principles. Any dispute arising out of or relating to this Agreement shall be resolved through binding arbitration if the parties mutually elect; otherwise, exclusive jurisdiction and venue shall lie in the state and federal courts located in the governing jurisdiction.

8. Entire Agreement; Amendments

This Agreement, together with any exhibits, schedules, and statements of work attached hereto, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral. Any amendment or modification to this Agreement must be in writing and signed by authorized representatives of both parties.

9. Miscellaneous Provisions

Assignment: Neither party may assign this Agreement without the prior written consent of the other party, except that Service Provider may assign to a successor in connection with a merger or sale of substantially all of its assets. Notices: All notices under this Agreement shall be in writing and delivered to the contact information provided in this form.
