Either party may terminate this agreement for convenience upon written notice to the other party delivered at least days prior to the effective termination date. Termination for cause is permitted where the defaulting party fails to cure a material breach within thirty (30) days of written notice specifying the breach.

Confidentiality

Each party shall maintain as confidential all non-public information disclosed by the other party that is identified as confidential or that a reasonable person would understand to be confidential given the nature of the information and the circumstances of disclosure ("Confidential Information"). Confidential Information shall not include information that is publicly available through no fault of the receiving party, rightfully received from a third party without restriction, independently developed by the receiving party, or required to be disclosed by operation of law. The receiving party shall use Confidential Information solely for the purpose of performing its obligations under this agreement and shall protect such information with no less than reasonable care.

Governing Law

This agreement shall be governed by and construed in accordance with the laws of the state of , without regard to that state's conflict of laws principles.

Entire Agreement

This document, together with any exhibits, schedules, or written statements of work executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications, whether oral or written.
