SCOPE OF WORK

The Service Provider shall identify missing client initials, assemble any required replacement pages or initialing panels, and deliver these materials to Client for execution. Work shall include document review, preparation of replacement pages if necessary, coordination with Client to obtain initials, and filing or incorporation of initialed pages into the original file.

PAYMENT TERMS

Client agrees to pay Service Provider for the limited administrative services described above in accordance with the schedule below.

Late payments will incur a late fee equal to of the unpaid balance per month, or the highest rate allowed by applicable law, whichever is lower. Client is responsible for all reasonable collection and legal costs incurred by Service Provider to enforce payment.

TERM AND TERMINATION

This agreement shall commence on the Start Date and shall continue until the tasks described in the Scope of Work are completed or until terminated as provided below.

Either party may terminate this agreement for convenience upon written notice to the other party delivered not less than days prior to termination. Termination shall not relieve Client of payment obligations for services performed prior to the effective date of termination.

CONFIDENTIALITY

Each party acknowledges that in the course of performance one party may disclose confidential or proprietary information to the other. Such information shall be treated as Confidential Information and shall not be disclosed to any third party, except as required by law or with prior written consent. The obligations of confidentiality survive termination of this agreement for a period of two (2) years.

If personal identifying information or other sensitive client data is required to complete the corrective initialing process, Service Provider shall use commercially reasonable measures to safeguard such data and to limit access to personnel with a legitimate need to perform the Scope of Work.

ACKNOWLEDGEMENT REGARDING MISSING INITIALS

Client acknowledges that the absence of initials in the locations identified above does not, by itself, alter or supersede any substantive term of the documents executed by the Client, and that any amendment to the substantive terms of those documents may only be made by a written amendment signed by the parties.

GOVERNING LAW

ENTIRE AGREEMENT

This instrument, together with any attached schedules or exhibits, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations, and understandings of the parties, whether written or oral. Any modification or amendment must be in writing and signed by both parties.
