The Service Provider will perform the services set forth below for the Client. The parties acknowledge that the description provided here will govern the initial engagement unless amended in writing and signed by both parties.

PAYMENT TERMS

Client will pay the Service Provider the fees set forth below in accordance with this Payment Terms section. All amounts are due in United States dollars unless otherwise agreed in writing.

TERM AND TERMINATION

This engagement commences on Start Date: and continues through End Date: , unless earlier terminated in accordance with this section.

Either party may terminate this engagement for convenience upon written notice delivered at least Notice Period (days): days prior to the intended termination date. Termination for cause may be effected immediately where a material breach is not cured within a commercially reasonable cure period.

CONFIDENTIALITY

Each party acknowledges that, in the course of performance, it may receive Confidential Information of the other party. "Confidential Information" means non-public business, technical, financial or other information disclosed in any form. Each receiving party shall (a) hold Confidential Information in strict confidence, (b) use it only to perform its obligations under this engagement, and (c) disclose it only to personnel who have a need to know and who are bound by confidentiality obligations at least as protective as those herein. The foregoing obligations do not apply to information that is (i) publicly known through no breach by the receiving party, (ii) rightfully received from a third party without restriction, or (iii) independently developed without use of the disclosing party's Confidential Information.

GOVERNING LAW; DISPUTE RESOLUTION

This Agreement and the interpretation of its terms shall be governed by the laws of State: , without regard to conflict of law principles. The parties shall attempt in good faith to resolve disputes through negotiation; failing resolution, disputes shall be resolved by binding arbitration if the parties mutually agree, otherwise in the courts having jurisdiction in the governing state.

ENTIRE AGREEMENT

This Client Information Profile, together with any attached Statements of Work or Schedules signed by both parties, constitutes the entire agreement between the parties with respect to the subject matter herein and supersedes all prior and contemporaneous oral or written agreements, proposals, and communications. Any amendment must be in writing and signed by authorized representatives of both parties.
