CLIENT INFORMATION RELEASE

RECITALS

WHEREAS, Client Name: (the "Client") has engaged Recipient Name: (the "Recipient") to provide certain services; and

WHEREAS, Client desires to authorize the release and disclosure of specified Client information to Recipient and/or designated third parties on the terms set forth in this Agreement in order to facilitate the services described herein.

NOW, THEREFORE, in consideration of the mutual covenants contained herein and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, Client and Recipient agree as follows:

PURPOSE

The purpose of this Release is to permit the controlled disclosure and use of Client information necessary for Recipient to perform services, verify identity, process transactions, coordinate third-party interactions, and otherwise carry out the legitimate business purposes described in this Agreement.

Recipient shall limit access to authorized personnel with a need to know and shall require third-party recipients to adhere to confidentiality obligations at least as protective as those set forth herein.

USE, REDISCLOSURE, AND EXCEPTIONS

Client information released under this Agreement may be used solely for the purposes set forth in the Scope of Work. Recipient shall not sell, lease, or otherwise disclose Client information to unrelated third parties except as expressly permitted herein or required by law. Mandatory legal disclosures in response to valid subpoenas, court orders, or similar legal processes are permitted provided Recipient uses reasonable efforts to notify Client unless prohibited by law.

REVOCATION

Revocation will be effective upon receipt, but revocation will not affect disclosures already made in reliance on this Release prior to receipt of revocation.

LIABILITY, INDEMNIFICATION, AND REMEDIES

Recipient shall be liable for unauthorized disclosures or uses of Client information resulting from Recipient's negligence or willful misconduct. Recipient agrees to indemnify and hold harmless Client from claims, liabilities, losses, and expenses (including reasonable attorneys' fees) arising out of Recipient's breach of this Agreement.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state or jurisdiction identified by Client's address without regard to conflict of law principles.

ENTIRE AGREEMENT

This Release constitutes the entire agreement between Client and Recipient with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written. Any amendment or modification must be in writing and signed by both parties.
