Governing Law: The laws of the state of shall govern any disputes arising from this Form and any ensuing engagement documents, without regard to conflict of laws principles.

Entire Agreement: This Form, and any subsequent written engagement agreement executed by the parties, contains the entire understanding between the parties with respect to the matters described herein and supersedes all prior discussions and agreements, whether written or oral, relating to such matters.
