What the Client Information & Retainer Proposal Is

A Client Information & Retainer Proposal is a written engagement document combining client contact and identification details with an offer of services and proposed retainer terms. It records the parties, the scope of work, billing arrangements, payment terms, and any upfront deposit or trust-account instructions so both sides share clear expectations before work begins. The document can serve as an evidence-backed basis for billing, client onboarding, and conflict-avoidance when signed by both parties.

Why a Clear Proposal Protects Both Parties

A well-drafted proposal reduces ambiguity about scope, fees, deliverables, and timelines, and provides written authorization to begin work. It helps manage client expectations, supports collections, and documents consent to electronic processes where used.

Why a Clear Proposal Protects Both Parties

Who Typically Prepares and Signs This Proposal

Professionals who bill hourly or by project commonly use this document to collect client data and secure an advance retainer before starting work.

  • Law firms, attorneys, and legal services teams using written engagement letters and trust-account rules.
  • Independent consultants, agencies, and freelancers who require up-front deposits and clear scope definitions.
  • Small and midsize businesses in services (real estate brokers, architects, accountants) needing signed authorization to proceed.

Use the signed proposal as the controlling engagement record; attach exhibits and statements of work as appendices for specificity.

Step-by-Step: Preparing and Executing the Proposal

Follow these steps to complete the proposal, obtain signatures, and store the executed record.

  • 01
Draft the Proposal: Define scope, fee structure, retainer terms, and billing cadence before sending.
  • 02
Collect Client Data: Populate full legal names, addresses, and taxpayer IDs in the designated fields.
  • 03
Request Signature: Send the document for signature via secure eSignature or printed copy for in-person signing.
  • 04
Acknowledge Receipt: Confirm receipt of retainer and retain proof of payment and the signed agreement.

How to Configure a Digital Approval Workflow

Set up an online workflow that assigns roles, authentication, reminders, and storage for completed proposals.

Field Configuration
Template Name Create a reusable template labeled "Client Retainer Proposal"
Signer Roles Assign Primary Client and Service Provider roles with required signature fields
Authentication Method Use email link plus optional SMS code or KBA for higher assurance
Reminders & Expiry Enable email reminders and set link expiry to reduce signing delays

Technical Considerations for Digital Completion

Choose a platform that supports the file formats and signer authentication you need before sending a proposal.

  • File Formats: PDF, Word DOCX, and editable templates supported
  • Integrations: Connectors for Salesforce, NetSuite, Google Workspace, Microsoft 365
  • Authentication: Email link, SMS code, KBA, and advanced signer verification options

Confirm storage location and retention settings (document repository or legal file) to meet compliance and audit needs.

Typical Electronic Submission Flow

An online signing flow reduces delay and captures an audit trail; these are the core steps commonly observed.

  • Upload Document: Sender uploads the proposal to the signing platform.
  • Place Fields: Add signature, date, and initials fields where required.
  • Send to Signer: Platform emails a secure signing link to the client.
  • Complete and Store: Signed copies and audit trail are saved to the chosen repository.

Key Deadlines and Timing Considerations

Track timing for retainer receipt, client onboarding deliverables, and any tax-related documents tied to the engagement.

Retainer Receipt:

Specify when the retainer is due (for example, upon execution or within 7 days of signing).

Engagement Start:

Record the effective date as MM/DD/YYYY to mark when work commences.

W-9 Provision:

Provide a W-9 upon payer request; there is no fixed IRS filing deadline for W-9 delivery.

Billing Cycle:

Define invoice frequency (monthly, milestone, or on completion).

Contract Review:

Set an internal deadline for any legal review prior to signature, commonly 3–5 business days.

Milestones from Proposal to Final Invoice

A sequential milestone view clarifies obligations from initial offer through final billing.

01

Proposal Sent

Client receives proposal and supporting exhibits for review.

02

Retainer Received

Provider confirms receipt of funds and records payment.

03

Work Commences

Services begin as of the effective date in the signed proposal.

04

Final Invoice

Final billing issued and applied against retainer per agreement.

Common Preparation Pitfalls to Avoid

  • Using informal or vague scope language that leads to scope creep and billing disputes.
  • Failing to collect accurate taxpayer identification, which may trigger IRS backup withholding obligations.
  • Not specifying retainer refundability, causing client misunderstandings and potential disputes.
  • Relying on unsigned or emailed consent without a clear audit trail or signed authorization.

Consequences of an Incorrect or Missing Proposal

Fee Disputes: Client may refuse payment or demand refunds
Regulatory Risk: Noncompliant disclosures can breach state bar rules
Tax Exposure: Incorrect TINs can cause 24% backup withholding
Collection Difficulty: Lack of written terms weakens collection claims
Reputational Harm: Unclear terms can damage client relationships
Enforceability Issues: Unsigned or incomplete agreements may be unenforceable

Essential Elements to Include in the Proposal

A comprehensive proposal should cover practical, legal, and financial details so the engagement can proceed with minimal ambiguity.

Parties

Full legal names and contact details for all parties to the agreement; include entity type where applicable.

Scope

Clear, itemized description of services, deliverables, and any excluded tasks to limit misunderstandings.

Fees and Retainer

Retainer amount, hourly or flat fees, billing increments, and how the retainer is applied to invoices.

Payment Terms

Due dates, accepted payment methods, late fees, and any interest or collection costs.

Termination

Conditions for early termination, notice periods, and treatment of unearned retainer funds.

Conflicts and Compliance

Confidentiality, data handling, applicable law, and dispute-resolution provisions.

Practical Tips to Prepare an Accurate Proposal

Follow these practices to reduce errors, speed approvals, and improve enforceability of retainer proposals.

Use a Standard Template
Maintain a vetted template that includes required disclosures, fee terms, termination rights, and signature blocks so each new proposal starts from a legally reviewed baseline.
Confirm Client Identity
Verify the signing party's authority and legal name; for entities, confirm officer authorization and include title to avoid later disputes.
Clarify Refund Treatment
State whether retainers are refundable, how unearned portions are handled, and the timing for final accounting to avoid collection disputes.
Preserve the Audit Trail
Use electronic signing that records timestamps, IP addresses, and signer authentication to support later enforcement if required.
