Either party may terminate this engagement for material breach that remains uncured for the notice period above. Termination does not relieve Client of payment for services performed and expenses incurred through the effective date of termination.

Confidentiality

Each party agrees to maintain in confidence all non-public information disclosed by the other party in connection with this engagement and to use such information solely for the performance of its obligations hereunder. Confidential information does not include information that is or becomes publicly known through no breach of this agreement, or that is independently developed by the receiving party.

Governing Law

This Agreement and any dispute arising under or relating to it shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of laws principles.

Entire Agreement and Certifications

The terms set forth in this Client Information Sheet together with any referenced statements of work constitute the entire agreement between the parties with respect to the subject matter hereof and supersede all prior agreements and understandings, whether written or oral.
