1. INFORMACIÓN BÁSICA DEL CLIENTE

2. ALCANCE DE LOS SERVICIOS

El Proveedor prestará los servicios y entregables descritos a continuación. El alcance podrá modificarse únicamente mediante acuerdo escrito firmado por ambas partes que detalle cambios en entregables, plazos y compensación.

3. TÉRMINOS DE PAGO

El Cliente pagará al Proveedor conforme a los términos detallados a continuación. Los importes se facturarán y pagarán en la moneda acordada; los impuestos aplicables serán de cargo del Cliente salvo que se acuerde lo contrario por escrito.

Las facturas vencen de acuerdo con el calendario de pagos y se considerarán atrasadas si no se abonan dentro del plazo indicado. El Cliente será responsable de los gastos de cobro, incluidas las tarifas razonables de abogados, en caso de incumplimiento.

4. PLAZO Y TERMINACIÓN

El presente Acuerdo tendrá vigencia desde la fecha de inicio hasta la fecha de finalización a menos que sea terminado con antelación conforme a este apartado.

Cualquiera de las partes podrá terminar por incumplimiento material no subsanado dentro del período de notificación. La terminación no liberará al Cliente de la obligación de pagar servicios prestados hasta la fecha efectiva de terminación.

5. CONFIDENCIALIDAD

"Información Confidencial" significa toda información divulgada por una parte a la otra, ya sea oral, escrita o electrónica, identificada como confidencial o que razonablemente deba entenderse como confidencial dadas las circunstancias de divulgación.

La parte receptora mantendrá la Información Confidencial en estricta confidencialidad, no la divulgará a terceros sin consentimiento escrito y no la usará para fines distintos a la ejecución de este Acuerdo, excepto según lo requerido por ley. Las obligaciones de confidencialidad sobrevivirán la terminación por un período de tres (3) años, salvo en lo relativo a secretos comerciales que sobrevivirán hasta que pierdan carácter de secreto.

Excepciones: la información que sea de dominio público, que ya estuviera en posesión legítima de la parte receptora, o que sea recibida legítimamente de un tercero sin obligaciones de confidencialidad, no estará sujeta a las obligaciones anteriores.
