Recitals

WHEREAS, Service Provider is engaged in the business of providing professional services as set forth in this Agreement and possesses the qualifications, experience and ability to perform such services; and

WHEREAS, Client desires to retain Service Provider to perform the services described in this Agreement, and Service Provider agrees to provide such services under the terms and conditions set forth herein.

Scope of Work

Service Provider shall perform the services described below. Client acknowledges and authorizes the Service Provider to perform the work in accordance with the specifications and schedule set forth in this section.

Deliverables and milestones, acceptance criteria, and any materials to be provided by Client should be set forth in the Description of Services above or in an attached schedule incorporated by reference.

Payment Terms

Client shall compensate Service Provider in accordance with the terms below. All fees are exclusive of applicable taxes unless otherwise stated.

Invoices are payable within the timeframe stated in Payment Schedule. Client shall pay reasonable collection costs, including attorneys' fees, on overdue balances. Service Provider may suspend performance for undisputed overdue payments after providing seven (7) days' written notice.

Term and Termination

This Agreement commences on the Start Date and continues until the End Date unless earlier terminated in accordance with this section.

Either party may terminate for material breach if the breaching party fails to cure the breach within the Notice Period following written notice. Termination shall not relieve Client of its obligation to pay for services performed and expenses incurred through the effective date of termination.

Confidentiality

Each party acknowledges that in the course of performance it may receive Confidential Information of the other party. "Confidential Information" means non-public information disclosed in any form that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure.

Each receiving party shall (a) hold the disclosing party's Confidential Information in strict confidence; (b) not disclose Confidential Information to any third party except to employees, contractors or advisors who have a need to know and who are bound by confidentiality obligations no less restrictive than those herein; and (c) use Confidential Information only to perform its obligations under this Agreement. The foregoing obligations shall not apply to information that is or becomes generally available to the public through no fault of the receiving party, is rightfully received from a third party without restriction, or is independently developed.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles. The parties consent to the exclusive jurisdiction and venue of the courts located in that state for any disputes arising out of or in connection with this Agreement.

Entire Agreement

This Agreement, including all schedules and attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, proposals, and communications, whether written or oral. Any amendment must be in writing and signed by both parties.
