What a Client Instructions Form Is and When It’s Used

A Client Instructions Form is a written record of a client’s directions about how their documents, transactions, or deliverables should be handled, who may sign, and how completed materials must be delivered or filed. It commonly accompanies contracts, closing packages, legal filings, or administrative engagements to reduce ambiguity about deadlines, payment routing, document distribution, supporting attachments, and special handling requirements. When executed electronically, the form is generally enforceable under federal ESIGN law (15 U.S.C. ch. 96) and state UETA rules where applicable, subject to recognized statutory exceptions such as wills or certain court filings.

Why a Clear Client Instructions Form Matters

A concise instructions form reduces errors, creates an audit trail, and aligns expectations between client and provider. It clarifies signatory authority, delivery method, timing, and required attachments so teams can meet regulatory and contractual obligations with fewer follow-ups.

Why a Clear Client Instructions Form Matters

Who Typically Completes or Relies on This Form

The Client Instructions Form is used by internal teams and external clients to coordinate responsibilities and delivery.

  • Clients and authorized signatories who set delivery, payment, or filing rules for their transactions.
  • Project managers, closing coordinators, or account teams who execute instructions and track completion.
  • Legal, compliance, and finance staff who need a written record to support audits or regulatory filings.

It helps every party identify decision-makers, contact points, and timing expectations to avoid rework and compliance gaps.

Step-by-Step: How to Complete the Client Instructions Form

Follow these core steps in order to create a clear, enforceable instructions form and avoid common processing delays.

  • 01
Gather Documents: Collect related contracts and attachments before filling.
  • 02
Complete Fields: Enter names, dates, delivery, and payment precisely.
  • 03
Review Internally: Legal and finance confirm obligations and accuracy.
  • 04
Execute and File: Apply signatures, distribute copies, and retain records.

Typical Processing Flow for the Form

Common Preparation Errors to Avoid

  • Providing incomplete signatory information leads to delays or invalid signatures when identity cannot be confirmed.
  • Specifying vague delivery instructions such as 'send as needed' causes inconsistent distribution and compliance gaps.
  • Failing to attach required exhibits or exhibits uploaded in the wrong format can invalidate downstream filings or approvals.
  • Using short or ambiguous timelines increases the chance of missed statutory deadlines or contract breaches.

Potential Consequences of Incorrect or Missing Instructions

Delayed Filings: Late submission risk
Incorrect Payments: Misrouted funds risk
