Client represents that it has authority to enter into this agreement and that all information provided is accurate and complete to the best of Client's knowledge. Client will provide timely access to personnel, materials, and facilities reasonably necessary for Service Provider to perform the scope of work.

Governing Law; Dispute Resolution

This agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles. The parties will attempt to resolve disputes by good-faith negotiation prior to initiating litigation.

Limitations; Entire Agreement

Except as expressly set forth, neither party makes any other warranties, express or implied. To the extent permitted by law, Service Provider's total liability for claims arising under this agreement shall be limited to the amounts actually paid by Client to Service Provider under this agreement. This document, together with any incorporated statements of work, constitutes the entire agreement between the parties and supersedes all prior agreements and understandings relating to the subject matter hereof.
