NOW, THEREFORE, the parties agree as follows.

Scope of Work

Specific deliverables and milestones are set forth below.

Itemized Proposal and Pricing

The following items form the basis of the contract price. Unit prices and quantities are estimates; changes shall be governed by the Change Orders provision below.

Client agrees to pay Designer the Total Contract Price in accordance with the following schedule. All amounts are payable in U.S. dollars unless otherwise agreed in writing.

Late payments shall incur a late fee of per month on the outstanding balance after days past the invoice due date.

Term and Termination

Confidentiality

Each party shall keep confidential all proprietary information, trade secrets, pricing, and design concepts disclosed by the other party in connection with this Agreement, and shall not disclose such information to third parties except to employees, contractors, or consultants who need to know the information to perform the obligations of this Agreement and who are bound by confidentiality obligations at least as restrictive as those contained herein. This obligation shall survive termination of this Agreement for a period of three (3) years.

Change Orders

Any change to the Scope of Work, schedule, or price shall be authorized by a written change order signed by both parties. Change orders shall describe the change, the adjustment to price, and any extension of time.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of laws principles.

Entire Agreement

This Agreement, including any attachments and change orders, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, and communications, whether written or oral.

Warranty and Limitation of Liability

Designer warrants that services will be performed in a professional manner consistent with industry standards. EXCEPT FOR THE FOREGOING WARRANTY, DESIGNER DISCLAIMS ALL OTHER WARRANTIES. IN NO EVENT SHALL EITHER PARTY BE LIABLE FOR INDIRECT, INCIDENTAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES ARISING FROM THIS AGREEMENT.
