WHEREAS, Service Provider is engaged in the provision of professional services and offers expertise, labor, materials and deliverables as set forth in this Invoice and Agreement; and

WHEREAS, Client desires to retain Service Provider to perform such services described in the Scope of Work in exchange for payment in accordance with the Payment Terms below; and

Payment Terms

Client shall pay the Total Amount Due in accordance with the following schedule. Payment obligations are independent of acceptance procedures described in the Scope of Work unless expressly stated otherwise.

All amounts unpaid after the Due Date shall accrue interest at the Late Fee rate set forth above, or the maximum rate permitted by law if lower. Client shall also reimburse Service Provider for reasonable collection costs, including attorneys' fees, incurred in collecting overdue amounts.

Term and Termination

This Agreement commences on Start Date: and shall continue until End Date: unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for convenience upon written notice to the other party not less than days prior to the intended termination date. Either party may terminate immediately for material breach that remains uncured for a period of 15 days after written notice of breach.

Confidentiality

Each party agrees to hold in strict confidence all Confidential Information disclosed by the other party and to use such Confidential Information solely for the performance of this Agreement. Confidential Information does not include information that: (a) is or becomes generally known to the public through no fault of the receiving party; (b) was lawfully in the receiving party's possession prior to disclosure; or (c) is independently developed without use of the disclosing party's Confidential Information. The receiving party shall take reasonable measures to protect the confidentiality of such information, not less than those measures it uses to protect its own confidential information of like importance.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of laws principles.

Entire Agreement

This document, together with any attachments or incorporated schedules, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous oral or written agreements, representations, and understandings.
