Parties

Recitals

WHEREAS, Lessor owns certain tablet devices and accessories and is willing to rent an iPad device to Client for business or personal use under the terms set forth in this Agreement;

WHEREAS, Client desires to rent the described iPad and accessories for the Term specified below and agrees to pay the rental fees, deposits, and to comply with all conditions, warranties and restrictions set forth in this Agreement;

WHEREAS, the parties intend for this Agreement to govern the rental of the iPad, allocation of risk, and duties related to confidentiality, loss, damage, repair and return.

Scope of Work / Rental Description

Lessor shall provide and Client shall accept the rental of the iPad and accessories identified below. Client acknowledges receipt and acceptance of the iPad's condition at the commencement of the rental unless noted in writing on this Agreement.

Payment Terms

Client shall pay Lessor the rental fees and deposits as set forth. Payment is due on the schedule selected below and any unpaid amounts are subject to late fees and collection costs as described.

Term and Termination

The Rental Term commences on the Start Date and continues until the End Date or until earlier termination in accordance with this Agreement. Either party may terminate for material breach subject to the notice requirements below.

Damage, Loss, Repair and Return

Client is solely responsible for loss of or damage to the iPad (whether by theft, accident, water, misuse, or other cause) during the Term. Client agrees to pay the reasonable cost to repair damage or the full replacement cost if the device is not repairable. Lessor may retain all or part of the security deposit to offset such costs.

Insurance & Risk Allocation

Client shall maintain insurance covering loss, theft and damage to the iPad in an amount sufficient to cover full replacement cost or, alternatively, shall accept responsibility for replacement cost. Proof of insurance is required upon request. Client retains possession and risk of loss during the Term.

Confidentiality and Data

The parties acknowledge that the iPad may contain or access confidential or personal data. Lessor makes no representation that the iPad is free of pre-existing data. Client is solely responsible for securing, encrypting, and removing any sensitive data prior to return. Client shall not attempt to circumvent or remove any device tracking, mobile device management, or security controls installed by Lessor.

Indemnification and Limitation of Liability

Client shall indemnify, defend and hold harmless Lessor, its officers, agents and employees from and against any claims, damages, losses and expenses (including reasonable attorneys' fees) arising out of Client's use, possession, or operation of the iPad. Lessor's total liability for damages under this Agreement shall not exceed the total rental fees paid by Client for the device under this Agreement, except for liability arising from Lessor's gross negligence or willful misconduct.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state selected below without regard to conflicts of law principles.

Entire Agreement

This Agreement constitutes the entire understanding between the parties with respect to the subject matter herein and supersedes all prior negotiations, representations, warranties or agreements, oral or written. Any amendment to this Agreement must be in writing and signed by both parties.

Acknowledgements

By signing below, Client acknowledges receipt of the described iPad and accessories in the condition noted above, agrees to the terms of this Agreement, and authorizes Lessor to charge the Client for any unpaid fees, repair costs, replacement costs, and collection expenses in accordance with this Agreement.
