TERM AND TERMINATION

Either party may terminate this Agreement for convenience upon providing written notice at least days prior to the effective date of termination. Termination for cause shall be permitted if the breaching party fails to cure a material breach within thirty (30) days after receipt of written notice describing such breach.

CONFIDENTIALITY

For purposes of this Agreement, Confidential Information means all non-public information disclosed by a party (Disclosing Party) to the other party (Receiving Party) whether disclosed orally, visually, or in writing. Receiving Party shall (i) hold Confidential Information in strict confidence; (ii) use Confidential Information solely to perform its obligations under this Agreement; and (iii) restrict disclosure to employees or contractors who have a need to know and who are bound by confidentiality obligations at least as protective as those herein.

Confidential Information does not include information that (a) is or becomes publicly known through no breach by the Receiving Party; (b) is rightfully received from a third party free of obligation of confidentiality; (c) is independently developed by the Receiving Party without use of the Disclosing Party’s Confidential Information; or (d) is required to be disclosed by law or valid order of a court or governmental authority, provided that Receiving Party gives prompt written notice and cooperates with Disclosing Party in any available protective measures.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles.

ENTIRE AGREEMENT

This Agreement, together with any exhibits or attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, proposals, or representations, whether written or oral. Any amendment must be in writing and signed by authorized representatives of both parties.

NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses below by certified mail, overnight courier, or email to the address provided. Notice is effective upon receipt.
