RECITALS

WHEREAS, the Service Provider is engaged in the business of performing client identification, identity verification, and related due diligence services for the prevention of money laundering, fraud, and other illicit activity; and

WHEREAS, the Client seeks to retain the Service Provider to conduct Know Your Customer procedures and satisfy applicable compliance obligations, and the Service Provider is willing to perform such services upon the terms and conditions set forth herein; and

NOW, THEREFORE, in consideration of the mutual covenants contained in this Document, the parties agree as follows:

SCOPE OF WORK

The Service Provider shall perform client identification and due diligence in accordance with the procedures described below, including but not limited to identity verification, beneficial ownership review, sanction screening, adverse media screening, and retention of KYC records. The detailed scope is set forth as follows:

BENEFICIAL OWNERS

Provide details for each individual with direct or indirect beneficial ownership of 25% or more, or for the natural persons who exercise control over the Client.

ANTI-MONEY LAUNDERING & DECLARATIONS

The Client certifies that, to the best of its knowledge, neither the Client nor any Beneficial Owner is subject to sanctions, subject to an ongoing criminal investigation, or listed on any government or international sanctions list. The Client acknowledges that the Service Provider may refuse or suspend services if information provided is incomplete, inaccurate, or indicates a risk of illicit activity.

PAYMENT TERMS

The Client shall pay the Service Provider fees for KYC services as set forth below.

TERM AND TERMINATION

This Document commences on the Effective Date and continues until the completion of the Scope of Work or until earlier terminated as provided below.

Either party may terminate this Document for convenience upon delivery of the notice period specified above. Either party may terminate immediately for material breach, fraud, failure to cooperate in due diligence, or where continuation of services would violate applicable law or regulation.

CONFIDENTIALITY

Each party shall maintain in confidence all non-public information received from the other party that is designated confidential or that reasonably should be understood to be confidential given the nature of the information. Confidential information shall not include information that is or becomes publicly available other than by breach of this Document, is rightfully received from a third party without breach, or is independently developed without use of the other party’s confidential information.

The Service Provider may disclose Confidential Information to regulators, law enforcement, or as required by legal process, provided it uses reasonable efforts to notify the disclosing party when permitted to do so.

GOVERNING LAW

This Document shall be governed by and construed in accordance with the laws of the following jurisdiction without regard to its conflict of law principles:

ENTIRE AGREEMENT

This Document, including any attachments and any written amendments executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications, whether oral or written. No amendment or waiver shall be effective unless in writing and signed by both parties.

CLIENT CERTIFICATION AND CONSENT

The Client certifies under penalty of perjury that the information provided in this Document is true, correct, and complete. The Client authorizes the Service Provider to obtain verification from third parties, to retain copies of identification documents, to perform background and sanctions checks, and to disclose information to regulatory or law enforcement bodies where required by law. The Client acknowledges that the Service Provider may rely on the representations and documents provided and that the Service Provider shall not be liable for losses arising from inaccurate or withheld information.

All notices required or permitted under this Document shall be in writing and delivered to the addresses provided by the parties. Notices shall be effective upon receipt.
