WHEREAS Recitals

WHEREAS, Client Name has sought to document and secure language access services necessary for effective communication in the provision of services and has engaged Service Provider to perform language assessment, interpretation, translation, and related language services; and

WHEREAS, Service Provider represents that it has the qualifications, personnel, and resources to assess the client's language needs and to provide language services in accordance with applicable professional standards and the terms set forth in this report and agreement; and

WHEREAS, the parties desire to document the findings of the language assessment and to set forth the scope, deliverables, payment, confidentiality and other terms governing the provision of language services described in this Report;

Late Fee: If payment is not received when due, Client agrees to pay interest on overdue amounts at or the maximum rate permitted by law, whichever is lower.

Term and Termination

Either party may terminate for convenience with prior written notice of days. Either party may terminate immediately for material breach that remains uncured after ten (10) days' written notice, or for conduct that materially impairs the ability to provide language services.

Confidentiality

Service Provider and Client each acknowledge that in the performance of services they may receive confidential or personally identifiable information. Each party shall: (a) protect such confidential information with the same degree of care it uses to protect its own confidential information, but no less than reasonable care; (b) use confidential information solely for performance of obligations under this Report and Agreement; and (c) not disclose confidential information to third parties except as required by law or with the other party's prior written consent. Service Provider agrees to take commercially reasonable measures to prevent disclosure of protected health information, personal data, or other sensitive material and to comply with all applicable privacy and confidentiality laws when processing such information.

Warranties and Limitation

Service Provider warrants that language services will be performed with reasonable skill and care consistent with industry standards. Except as expressly provided, no other warranties are made and all implied warranties are disclaimed to the fullest extent permitted by law. In no event shall either party be liable for incidental, consequential, or punitive damages, except for liability arising from willful misconduct or gross negligence.

Governing Law and Entire Agreement

This Report and Agreement shall be governed by and construed in accordance with the laws of the state or jurisdiction specified by the parties below. The parties agree that any disputes shall be resolved in the state and federal courts located within that jurisdiction unless otherwise agreed in writing.

This Report, together with any attachments or written amendments signed by both parties, constitutes the entire agreement between the parties with respect to the subject matter herein and supersedes all prior and contemporaneous agreements and understandings, whether written or oral.
