Recitals

This Client Lead Packet and General Business Agreement (the Agreement) is entered into effective as of by and between (Client) and (Service Provider).

WHEREAS, Client has engaged Service Provider to evaluate and propose solutions as described in this Packet and, if accepted, to perform the Scope of Work defined below; and

WHEREAS, Service Provider routinely collects lead information and provides preliminary proposals and accepts engagements consistent with the terms and conditions set forth herein.

The parties agree that the Scope of Work shall be as described below. Service Provider will perform the services with commercially reasonable skill, care, and within the agreed schedule. Specific deliverables, milestones, and acceptance criteria should be documented here.

Payment Terms

Client agrees to pay Service Provider the fees described below. All fees are due in U.S. dollars unless otherwise agreed in writing.

Payments are due within days of invoice. Late payments shall incur a late fee of on the overdue balance, compounded monthly, or the maximum permitted by law, whichever is less.

Unless otherwise stated, Service Provider's invoices will itemize services and expenses. Client is responsible for any third-party costs or taxes not expressly included in the fee.

Term and Termination

This Agreement commences on and will continue until unless earlier terminated in accordance with this Section.

Either party may terminate for convenience upon written notice to the other party at least days prior to the intended termination date. Either party may terminate immediately for material breach if the breach remains uncured for a period of 15 days following written notice.

Upon termination, Client shall pay Service Provider for all work performed and expenses incurred through the effective date of termination. Any advance payments for unperformed services shall be returned or credited as mutually agreed.

Confidentiality

Each party acknowledges that during the term of this Agreement it may receive Confidential Information of the other party. "Confidential Information" means non-public business, technical, financial or other information designated in writing as confidential or that reasonably should be understood to be confidential.

Each party agrees to: (a) maintain the confidentiality of the other party's Confidential Information using at least the same degree of care it uses to protect its own confidential information but no less than reasonable care; (b) not disclose Confidential Information to any third party except as expressly permitted in this Agreement; and (c) use Confidential Information solely to perform its obligations under this Agreement. Confidential obligations survive termination for a period of .

Governing Law; Dispute Resolution

This Agreement will be governed by and construed in accordance with the laws of the State of , without regard to conflicts of law principles. The parties shall attempt in good faith to resolve disputes through negotiation prior to initiating litigation. If litigation is necessary, the parties consent to the exclusive jurisdiction and venue of the state and federal courts located in the county where Service Provider maintains its principal place of business.

Entire Agreement; Amendment

This Agreement, including the Scope of Work and any appendices or schedules executed contemporaneously, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals and communications, whether oral or written. Any amendment or modification must be in writing signed by both parties.

Authorizations & Consents

By providing the information in this Packet and signing below, Client authorizes Service Provider to: contact references and other third parties identified in this Packet; perform reasonable credit or background checks where relevant to the engagement; and identify Client as a client of Service Provider for internal and legal purposes where permitted by Client.

Acknowledgment
