CLIENT LOAN PROPOSAL REQUEST

This Client Loan Proposal Request Agreement (the Agreement) is made effective as of by and between Client Name: and Service Provider:

WHEREAS, Client desires to obtain a written loan proposal and associated procurement services from Service Provider outlining commercially reasonable financing options, and

WHEREAS, Service Provider represents that it will prepare and present a proposal based on information provided by Client and in reliance upon the representations and documents delivered hereunder, and

WHEREAS, the parties wish to set forth the scope, payment terms, confidentiality obligations and other terms governing Service Provider's preparation and delivery of the loan proposal.

Scope of Work

Service Provider shall undertake the following services (collectively, the Services). Service Provider will use commercially reasonable efforts and professional skill in performing the Services and shall deliver the loan proposal and supporting documentation described below.

Payment Terms

Client agrees to pay Service Provider a fee for preparation and presentation of the loan proposal as set forth below. Such fee is non-refundable except as expressly set forth in this Agreement.

Late Payment: Unpaid amounts shall accrue a late fee equal to on the overdue balance, and Client will reimburse Service Provider for reasonable collection costs and attorneys' fees incurred in collecting delinquent amounts.

Term and Termination

This Agreement commences on the Start Date: and will terminate on the End Date: unless earlier terminated in accordance with this section.

Either party may terminate this Agreement upon written notice delivered at least days prior to the intended termination. Service Provider may terminate immediately for material breach, insolvency, or fraud by Client. Termination will not relieve Client of liability for fees incurred through the effective date of termination nor for any non‑cancelable third‑party obligations incurred on Client's behalf.

Confidentiality

Each party shall maintain the confidentiality of the other party's Confidential Information and shall not disclose such information to any third party except as required by law or with the disclosing party's prior written consent. "Confidential Information" includes nonpublic financial data, business plans, underwriting materials, and other information identified in writing as confidential. Obligations of confidentiality survive termination for a period of three (3) years.

Representations; Authorization

Client represents and warrants that all information, statements and documents provided to Service Provider are true, accurate and complete to the best of Client's knowledge. Client authorizes Service Provider to obtain, use and share such information with prospective lenders, credit-reporting agencies and other third parties as necessary to prepare the proposal and to verify representations herein.

Governing Law; Entire Agreement

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflicts of law principles. This Agreement embodies the entire agreement between the parties with respect to its subject matter and supersedes all prior proposals, understandings, and communications, whether written or oral. Any amendment or waiver must be in writing and signed by both parties.

Limitation of Liability

Except for liability arising from gross negligence or willful misconduct, neither party shall be liable to the other for consequential, incidental, punitive or special damages. Service Provider's aggregate liability for any claim arising under or relating to this Agreement shall not exceed the fees paid by Client to Service Provider under this Agreement.

Miscellaneous Provisions

Notices shall be deemed given when delivered in writing to the contact information provided above or via electronic transmission with confirmation. If any provision of this Agreement is held unenforceable, the remaining provisions will remain in full force and effect.
