Parties

Recitals (WHEREAS)

WHEREAS, Client Name: (the "Client") provides goods and/or services for consumer sale or engagement; and

WHEREAS, Marketplace Operator Name: (the "Operator") operates Marketplace Name: and requires the Client's express consent to list Client offerings and to use Client Materials as set forth below; and

NOW, THEREFORE, in consideration of the mutual covenants contained herein and other good and valuable consideration, the receipt and sufficiency of which are acknowledged, the parties agree as follows.

Scope of Work

The Client authorizes the Operator to create, publish, host, promote and manage marketplace listings for the Client's goods and/or services. Specific tasks to be performed by the Operator are described below. The Client shall provide all required Client Materials (as defined below) in accordance with any mutually agreed schedule.

Consent and License

The Client hereby grants the Operator a non-exclusive, royalty-free license to use, reproduce, modify, display and distribute Client Materials (including photographs, descriptions, trademarks, pricing information and customer reviews) solely for the purposes of listing, marketing and operating the Client's listings on the Marketplace during the Term. The Client represents and warrants that the Client has the right to grant this license and that use by the Operator as contemplated herein will not infringe third-party rights.

Client Materials will be provided in a timely manner and in formats reasonably requested by the Operator. The Operator agrees to attribute materials to the Client as reasonably requested and not to materially alter product descriptions or key terms without prior Client approval, except where necessary to comply with Marketplace requirements or applicable law.

Payment Terms

In consideration for services provided by the Operator, the Client agrees to pay the fees set forth below. Fees will be payable in U.S. dollars unless otherwise agreed in writing.

Term and Termination

This Agreement commences on Start Date: and will continue until End Date: unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for any reason upon prior written notice to the other party as provided above. Either party may terminate immediately upon material breach by the other party that remains uncured for thirty (30) days after written notice. Termination does not relieve either party of obligations accrued prior to termination, including payment obligations.

Confidentiality

Each party agrees to keep confidential and not disclose the other party's Confidential Information except as required to perform its obligations under this Agreement or as required by law. "Confidential Information" means non-public information disclosed in connection with this Agreement, whether oral, written, or electronic.

The obligations in this section do not apply to information that: (a) is or becomes public other than through a breach of this Agreement; (b) was rightfully known by the recipient before disclosure; or (c) is independently developed by the recipient without use of the disclosing party's Confidential Information.

Representations, Governing Law & Entire Agreement

Client represents and warrants that (i) the Client owns or is authorized to grant the rights granted herein with respect to Client Materials and (ii) the Client's performance under this Agreement does not violate any other agreement. Operator represents that it has the authority to provide the services contemplated by this Agreement.

This Agreement shall be governed by and construed in accordance with the laws of the state identified above, without regard to conflict of law principles. Any dispute arising out of or related to this Agreement shall be resolved in courts located within such state, subject to the parties' right to seek injunctive relief in any appropriate jurisdiction to protect intellectual property or confidences.

This Agreement constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous understandings, proposals or agreements, whether written or oral. Any amendment must be in writing and signed by both parties.

Miscellaneous Provisions

Neither party may assign this Agreement without the prior written consent of the other, except to a successor in interest in connection with a merger or sale of substantially all assets. Headings are for convenience only and do not affect interpretation. If any provision is found unenforceable, the remainder shall remain in full force.
