PAYMENT TERMS

Payment for approved markups shall be made in accordance with the schedule below. Service Provider shall invoice Client for approved markup work and Client shall pay in accordance with the terms described herein.

TERM AND TERMINATION

This Agreement shall commence on Start Date: and shall continue until End Date: unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for convenience upon written notice delivered at least days prior to the intended termination date. Either party may terminate for cause if the other party materially breaches any obligation and fails to cure such breach within days following written notice specifying the breach.

Termination shall not relieve Client of its obligation to pay for services performed and costs incurred through the effective date of termination, including any accepted or approved markups.

CONFIDENTIALITY

For purposes of this Agreement, Confidential Information means any non-public information disclosed by a disclosing party to the receiving party that is designated as confidential or that, given the nature of the information or circumstances of disclosure, reasonably should be understood to be confidential. Confidential Information includes markup files, comments, proprietary notes, pricing, and technical or business information.

The receiving party shall: (a) hold Confidential Information in strict confidence using at least the same degree of care used to protect its own confidential information, but not less than reasonable care; (b) use Confidential Information solely to perform obligations under this Agreement; and (c) not disclose Confidential Information to any third party except to employees, contractors or advisors who have a need to know and who are bound by confidentiality obligations at least as protective as those contained herein.

Confidentiality obligations under this Section shall survive termination of this Agreement for a period of years, except with respect to trade secrets, which shall be protected for so long as they remain trade secrets under applicable law.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction selected below, without regard to its conflict of laws principles.

ENTIRE AGREEMENT; AMENDMENT

This Agreement, including any attachments or documents incorporated by reference and any approved markup schedules, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals and communications. No amendment, modification or waiver shall be effective unless in writing and signed by duly authorized representatives of both parties.

MISCELLANEOUS PROVISIONS

Each party represents and warrants that it has full power and authority to enter into this Agreement. If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. Notices required under this Agreement shall be in writing and delivered to the contact addresses provided above.
