CLIENT MATCH FORM

This Client Match Form (the Agreement) is made effective as of by and between the parties set forth below.

PARTIES

WHEREAS

WHEREAS, Matcher maintains a business for identifying and introducing prospective clients to service providers or counterparties and has represented that it has the competence, contacts, and resources to locate suitable matches for Client;

WHEREAS, Client seeks the assistance of Matcher to identify, introduce, and facilitate potential business relationships consistent with Client's stated needs;

WHEREAS, the parties desire to set forth the terms under which Matcher will provide matching services and the compensation, confidentiality, and other obligations applicable to the parties.

SCOPE OF WORK

Matcher will use commercially reasonable efforts to identify and introduce potential matches to Client consistent with the criteria and parameters below. Matcher will not act as an agent of Client unless expressly agreed in writing.

PAYMENT TERMS

As consideration for services rendered under this Agreement, Client will pay Matcher the fees set forth below. Fees become due in accordance with the schedule below and are non-refundable except as expressly provided in this Agreement.

Late payments shall accrue interest at the lesser of 1.5% per month or the maximum rate permitted by applicable law. Client shall reimburse Matcher for reasonable costs of collection, including attorneys' fees, for overdue amounts.

TERM AND TERMINATION

This Agreement commences on and continues until unless earlier terminated as provided below.

Either party may terminate this Agreement for material breach by the other party if such breach remains uncured for the notice period specified above. Termination will not relieve Client of the obligation to pay fees earned prior to termination or fees owed for matches completed in accordance with this Agreement.

CONFIDENTIALITY

Each party acknowledges that in connection with the performance of this Agreement it may receive confidential or proprietary information of the other party ("Confidential Information"). Confidential Information shall not include information that is (i) already known to the recipient at the time of disclosure without restriction, (ii) becomes publicly known through no wrongful act of the recipient, (iii) is rightfully received from a third party without breach of any obligation of confidentiality, or (iv) independently developed by the recipient without use of Confidential Information.

The recipient shall protect Confidential Information with the same degree of care it uses to protect its own confidential information but no less than a reasonable degree of care, shall use Confidential Information solely to perform obligations under this Agreement, and shall not disclose Confidential Information to any third party except to its employees, agents, or professional advisors who have a need to know and who are bound by confidentiality obligations at least as protective as those herein.

The obligations under this section shall survive termination of this Agreement for a period of three (3) years, except for trade secrets which shall remain protected for so long as they qualify as trade secrets under applicable law.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to choice-of-law principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that state for enforcement of their rights and obligations hereunder.

ENTIRE AGREEMENT

This Agreement, including any exhibits or attachments hereto, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous negotiations, understandings, and agreements, whether written or oral. Any amendment or modification must be in writing and signed by authorized representatives of both parties.

ADDITIONAL REPRESENTATIONS

Each party represents and warrants that it has full power and authority to enter into this Agreement and to perform its obligations hereunder, and that the execution and delivery of this Agreement will not violate any other agreement to which such party is bound.
