CLIENT NOTE TO SIGN

This Client Note to Sign (the Agreement) is entered into by and between the parties identified below as of the Effective Date set forth herein.

Scope of Work

Provider shall perform the services described below in a professional and workmanlike manner in accordance with industry standards. The parties acknowledge that the description below constitutes the agreed scope and that any material change to scope shall require a written amendment signed by both parties.

Payment Terms

Compensation: Client shall pay Provider the total amount of $ for the services rendered under this Agreement, subject to the payment schedule below.

Invoices shall be submitted in writing and are payable within days of receipt unless otherwise agreed in writing. Late payments shall accrue interest at on any unpaid balance, to the maximum extent permitted by law, together with all costs of collection (including reasonable attorneys' fees).

Term and Termination

Term: This Agreement shall commence on and shall continue until unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for convenience upon days' prior written notice to the other party. Either party may terminate immediately upon written notice if the other party materially breaches this Agreement and such breach is not cured within ten (10) days after written notice of such breach.

Confidentiality

Each party (the Receiving Party) shall keep confidential all non-public, proprietary, or business information disclosed by the other party (the Disclosing Party) that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure ("Confidential Information"). The Receiving Party shall not disclose Confidential Information to any third party without the Disclosing Party's prior written consent and shall use at least the same degree of care to protect the Confidential Information as it uses to protect its own confidential information, but in no event less than reasonable care. Confidential Information does not include information that (a) is or becomes public through no fault of the Receiving Party; (b) was known to the Receiving Party prior to disclosure without restriction; (c) is lawfully received from a third party without restriction; or (d) is independently developed without use of the Disclosing Party's Confidential Information.

Representations; Compliance

Each party represents and warrants that it has the full power and authority to enter into this Agreement and to perform its obligations hereunder, and that its performance will comply with all applicable laws, rules and regulations. Provider represents that it will perform in a professional manner and with due care, skill and diligence.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that State for any disputes arising under this Agreement.

Entire Agreement; Amendment

This Agreement, including any schedules or attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, proposals, representations and understandings. Any amendment or modification to this Agreement must be in writing and signed by authorized representatives of both parties.

Miscellaneous

Assignment: Neither party may assign its rights or delegate its obligations under this Agreement without the prior written consent of the other party, except that Provider may assign to a successor in connection with a merger or sale of substantially all of its assets. If any provision is held unenforceable, the remaining provisions shall remain in full force.
