CLIENT ONBOARDING AGREEMENT

This Client Onboarding Agreement ("Agreement") is entered into as of by and between Service Provider: with principal place of business at and Client: located at .

WHEREAS

WHEREAS, Service Provider is engaged in the business of providing professional services described herein and possesses the necessary experience, personnel, and resources to perform such services; and

WHEREAS, Client desires to engage Service Provider to perform onboarding and related services under the terms and conditions set forth in this Agreement; and

WHEREAS, the parties intend that the services, fees, and contractual relationship between them be governed by the express terms below.

SCOPE OF WORK

Service Provider shall provide onboarding services to Client as described in detail below. Services shall include deliverables, milestones, and any acceptance criteria agreed in writing by the parties.

PAYMENT TERMS

In consideration for the performance of the services described in this Agreement, Client shall pay Service Provider in accordance with the following terms.

All amounts are payable in United States Dollars unless otherwise agreed. Client shall pay all undisputed invoices within the time specified in the Payment Schedule. Invoices not paid when due shall accrue interest as specified above and Service Provider may suspend performance if payment is delinquent for more than the notice period specified in Term and Termination.

TERM AND TERMINATION

This Agreement shall commence on and shall continue until unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for convenience upon written notice to the other party delivered no fewer than days prior to the effective date of termination. Either party may terminate immediately for material breach if the breaching party fails to cure such breach within thirty (30) days after receipt of written notice specifying the nature of the breach.

CONFIDENTIALITY

"Confidential Information" means nonpublic information disclosed by one party to the other, whether marked confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Each receiving party shall: (a) hold Confidential Information in strict confidence using at least the same degree of care it uses to protect its own confidential information but in no event less than a reasonable degree of care; (b) use the Confidential Information solely to perform its obligations under this Agreement; and (c) not disclose Confidential Information to any third party except to employees, contractors, or advisors who have a need to know and who are bound by confidentiality obligations no less protective than those in this Agreement.

Confidential Information does not include information that: (i) is or becomes public without breach of this Agreement by the receiving party; (ii) was lawfully in the receiving party's possession prior to disclosure; (iii) is received from a third party without breach of any obligation of confidentiality; or (iv) is independently developed by the receiving party without use of Confidential Information. Notwithstanding the foregoing, a party may disclose Confidential Information as required by law, provided that, to the extent permitted, the disclosing party provides prompt written notice and cooperates to seek a protective order or other appropriate remedy.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that State for resolution of disputes arising out of or relating to this Agreement.

ENTIRE AGREEMENT

This Agreement, together with any exhibits, schedules, or statements of work executed contemporaneously or subsequently and incorporated by reference, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, negotiations, and communications, whether oral or written. Any modification to this Agreement must be in writing and signed by authorized representatives of both parties.

NOTICES

All notices required or permitted under this Agreement shall be in writing and shall be deemed given when delivered personally, sent by certified mail (return receipt requested), or sent by overnight courier to the addresses set forth at the beginning of this Agreement or to such other address as either party may designate by notice to the other.

MISCELLANEOUS

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall continue in full force and effect. No waiver of any breach shall be deemed a waiver of any subsequent breach. The parties are independent contractors and nothing in this Agreement shall create a partnership, joint venture, or employment relationship between them.
