CLIENT ONBOARDING OPENING PAPERWORK

This Client Onboarding Service Agreement (the Agreement) is made as of between Client Name: (Client) and Service Provider Name: (Provider).

Recitals

WHEREAS, Client seeks to retain Provider to perform the services described herein in accordance with the terms and conditions of this Agreement; and

WHEREAS, Provider represents that it has the skill, experience, and resources necessary to perform the services and deliver the deliverables set forth in the Scope of Work; and

WHEREAS, the parties desire to document their mutual rights and obligations for the onboarding, delivery, and payment processes.

Scope of Work

Provider will perform the services described below and deliver the specified deliverables in accordance with the schedule and acceptance criteria set forth by the parties.

Payment Terms

Client shall pay Provider the fees and reimburse expenses in accordance with this section. Fees are exclusive of taxes unless otherwise stated.

All fees not paid within thirty (30) days of invoice shall accrue interest at the rate specified above and the Client shall also be responsible for reasonable collection costs and attorneys' fees incurred by Provider in enforcing payment rights.

Term and Termination

This Agreement commences on Start Date: and, unless earlier terminated in accordance with this Agreement, continues until End Date: .

Either party may terminate this Agreement for material breach if the breaching party fails to cure the breach within the notice period specified above. Termination shall not relieve Client of obligations to pay for services performed and expenses incurred through the effective date of termination. Provisions that by their nature survive termination shall survive.

Confidentiality

Each party (the Receiving Party) shall maintain in confidence all Confidential Information disclosed by the other party (the Disclosing Party) and shall not use such Confidential Information except as necessary to perform obligations under this Agreement. "Confidential Information" includes non-public business information, trade secrets, client data, pricing, technical information, and any other information designated in writing as confidential or that reasonably should be understood to be confidential. Confidentiality obligations do not apply to information that is (a) publicly known through no breach of this Agreement, (b) rightfully received from a third party without restriction, (c) independently developed without use of Confidential Information, or (d) required to be disclosed by law, provided the Receiving Party gives prompt notice to allow the Disclosing Party to seek protective measures.

The parties agree that Confidential Information shall remain confidential for a period of three (3) years following disclosure, except that trade secrets and client personal data shall be protected for as long as such protections are recognized under applicable law.

Governing Law

This Agreement will be governed by and construed in accordance with the laws of the State of , without regard to its conflict of laws principles. The parties consent to the exclusive jurisdiction of the courts located within that state for disputes arising under this Agreement.

Entire Agreement

This Agreement, together with any exhibits or attachments executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications, whether oral or written. No amendment shall be effective unless in writing and signed by both parties.
