PAYMENT TERMS

The Client shall pay the Provider the fees set forth below in consideration for the performance of the Services. All fees are due in United States dollars unless otherwise agreed in writing.

TERM AND TERMINATION

CONFIDENTIALITY

Each party acknowledges that in the course of performance it may receive Confidential Information of the other party. "Confidential Information" means non-public business, technical, financial, or operational information disclosed in any form. Each party shall (i) hold Confidential Information in strict confidence, (ii) use it solely to perform its obligations under this Agreement, and (iii) not disclose it to third parties except to employees or agents who need access and who are bound by confidentiality obligations no less protective than those herein. Confidential Information does not include information that the receiving party can demonstrate (a) is or becomes publicly available through no fault of the receiving party, (b) was rightfully in the receiving party's possession prior to disclosure, or (c) is independently developed without use of the disclosing party's Confidential Information.

INTELLECTUAL PROPERTY & DELIVERABLES

Unless otherwise agreed in writing, Provider grants Client a non-exclusive, perpetual license to use delivered work product for Client's internal business purposes upon full payment of all fees. Provider retains ownership of Provider's pre-existing materials, tools, templates, methodologies, and other intellectual property. Specific assignment or licensing of custom deliverables must be set out in the Scope of Work.

GOVERNING LAW; DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflicts of law principles. The parties shall attempt to resolve disputes in good faith prior to initiating any formal proceeding.

MISCELLANEOUS

Entire Agreement: This document, together with any attached Statements of Work and exhibits signed by the parties, constitutes the entire agreement between the parties and supersedes all prior agreements and understandings relating to the subject matter hereof. Any amendments must be in writing and signed by authorized representatives of both parties.

Independent Contractor: Provider is an independent contractor and not an employee, partner, or agent of Client. Provider is solely responsible for all taxes, payroll contributions and benefits for Provider's personnel.

ACKNOWLEDGMENTS

The undersigned represent and warrant that they are authorized to enter into this Agreement on behalf of the party for which they sign and that the information provided in this Onboarding Packet is true and accurate to the best of their knowledge.
