Recitals

WHEREAS, Client and Service Provider entered into an agreement identified above under which Service Provider agreed to provide professional services and/or deliverables to Client; and

WHEREAS, Client now elects to opt out of certain services and/or to terminate portions of the existing agreement in accordance with the termination provisions of that agreement or by mutual written agreement of the parties; and

WHEREAS, the parties desire to document the Client's election to opt out, the scope of services to be ceased, any outstanding financial obligations, and the terms applicable to such cessation.

Unless otherwise agreed in writing herein, the parties agree that any opt-out or termination effected by this form shall be subject to the payment terms and wind-down obligations set forth above. Service Provider may withhold final deliverables until outstanding amounts are paid in full, except as otherwise required by mandatory law.

Confidentiality

The parties acknowledge that the confidentiality obligations in the original Agreement survive termination or partial termination of services. Client acknowledges that proprietary materials, trade secrets, and confidential information provided by Service Provider shall remain confidential and shall not be disclosed or used except as necessary to effectuate the wind-down or as permitted in writing by Service Provider.

Governing Law; Dispute Resolution

This Opt-Out Form shall be governed by and construed in accordance with the laws of the State of without regard to conflict-of-law principles. Representations and Entire Agreement

Each party represents and warrants that it has full authority to enter into this Opt-Out Form and that execution and delivery of this form will not violate any other agreement to which it is a party. This Opt-Out Form, together with the referenced Agreement and any written amendments executed by both parties, constitutes the entire understanding between the parties with respect to the subject matter herein and supersedes all prior oral and written communications concerning the opt-out or termination described herein.
